This Purchase Order is issued by Meridian Energy Solutions Ltd. to procure the professional services of a qualified Petroleum Engineer to support reservoir characterisation, well performance analysis, and production optimisation activities for our operated assets in the West Midlands region. The Petroleum Engineer shall be based at our operational headquarters in Birmingham, United Kingdom, and shall report directly to the Head of Subsurface Operations. The scope of work encompasses a twelve-month engagement period commencing on 01 July 2025 and concluding on 30 June 2026, with the option to extend for a further six months subject to mutual agreement and budgetary approval.

Terms and Conditions

  1. This Purchase Order constitutes a binding agreement between Meridian Energy Solutions Ltd. (hereinafter "the Buyer") and Northgate Petroleum Consulting Ltd. (hereinafter "the Supplier") for the provision of Petroleum Engineer professional services in Birmingham, United Kingdom.
  2. The Petroleum Engineer(s) engaged under this Purchase Order shall hold valid professional registration with the Institution of Mechanical Engineers (IMechE) or the Society of Petroleum Engineers (SPE) and shall maintain all requisite professional indemnity insurance at a minimum cover of £5,000,000 throughout the engagement period.
  3. All services shall be performed in accordance with the Health and Safety at Work etc. Act 1974, the Offshore Installations (Safety Case) Regulations 2015, and all applicable UK HSE guidance documents relevant to petroleum engineering operations in the United Kingdom.
  4. The Supplier shall ensure that the Petroleum Engineer assigned to this Purchase Order is based at the Buyer's premises at 142 Corporation Street, Birmingham, B3 1BB, United Kingdom, for a minimum of four (4) days per week, with the remaining day allocated to remote or field-based work as directed by the Head of Subsurface Operations.
  5. Payment shall be made within thirty (30) calendar days of receipt of a valid VAT invoice from the Supplier. Late payments shall attract interest at the rate of 4% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
  6. The Supplier shall provide monthly progress reports detailing the Petroleum Engineer's activities, deliverables completed, and any technical recommendations for reservoir management in the Birmingham-operated asset portfolio.
  7. All intellectual property, data, and technical documentation generated by the Petroleum Engineer in the course of this Purchase Order shall remain the sole property of Meridian Energy Solutions Ltd. The Supplier shall not disclose any confidential information to third parties without prior written consent.
  8. This Purchase Order may be terminated by either party with thirty (30) days' written notice. In the event of termination, the Supplier shall be compensated for all services rendered up to the effective date of termination, less any outstanding deliverables.
  9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
  10. The Supplier warrants that the Petroleum Engineer services provided under this Purchase Order shall be performed with reasonable skill and care, in a professional and workmanlike manner, and in full compliance with all applicable United Kingdom statutory and regulatory requirements.
