All services under this Purchase Order shall be performed at the following locations within United Kingdom Manchester:

• Primary Site: NorthWest Energy Solutions Ltd., 120 Deansgate, Manchester, M3 4ER, United Kingdom.
• Secondary Site: Salford Quays Technical Centre, 55 King Street, Salford, M5 3AW, United Kingdom.
• Remote / Hybrid work may be conducted from the Contractor's registered office in Manchester, subject to prior written approval by the Client's Project Director.

The Petroleum Engineer assigned to this contract shall be a Chartered Engineer (CEng) registered with the Energy Institute (EI) and shall hold a minimum of ten (10) years of post-qualification experience in reservoir engineering, well performance, and production systems. The engineer's credentials and professional indemnity insurance (minimum cover of £5,000,000) must be verified prior to commencement of work.

• Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Contractor.
• Invoices shall be submitted monthly in arrears, referencing this Purchase Order number (PO-UK-MAN-2025-04782).
• Payment method: BACS transfer to the Contractor's designated UK bank account. No cash payments shall be accepted.
• A late payment interest rate of 4% above the Bank of England base rate shall apply to overdue amounts, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
• All amounts are quoted in British Pounds Sterling (GBP) and are inclusive of all applicable United Kingdom taxes unless otherwise stated.

• This Purchase Order is governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of United Kingdom Manchester and the wider United Kingdom legal framework.
• The Petroleum Engineer shall comply with all applicable United Kingdom health, safety, and environmental regulations, including those enforced by the Health and Safety Executive (HSE) and the Environment Agency.
• All data, models, reports, and intellectual property generated under this Purchase Order shall remain the sole property of NorthWest Energy Solutions Ltd. upon full payment.
• The Contractor shall maintain professional indemnity insurance and public liability insurance throughout the duration of the contract. Certificates of insurance shall be provided upon request.
• Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Contractor shall be compensated for all services rendered up to the effective date of termination.
• The Petroleum Engineer shall adhere to the Client's site-specific safety induction and shall not be required to perform any task that falls outside the scope of petroleum engineering practice as defined by the Energy Institute.
• Confidentiality obligations shall survive the termination of this Purchase Order for a period of five (5) years.
