This Purchase Order is issued by Pacific Basin Energy Solutions, Inc., a corporation duly registered in the State of California, United States, to Subterra Engineering & Consulting Group LLC for the engagement of a qualified Petroleum Engineer to perform subsurface reservoir characterization, wellbore integrity assessment, and production optimization studies. The Petroleum Engineer engaged under this Purchase Order shall comply with all applicable federal, state, and local regulations governing petroleum operations within the United States Los Angeles jurisdiction, including but not limited to California Division of Oil, Gas, and Geothermal Resources (DOGGR) requirements and U.S. Environmental Protection Agency (EPA) standards.

All prices are quoted in United States Dollars (USD). Payment is due Net 30 days from the date of invoice, provided all deliverables have been accepted in writing by the buyer's project manager.
- Scope & Qualification: The Petroleum Engineer assigned to this Purchase Order must hold a valid California Professional Engineer (PE) license in the discipline of Petroleum Engineering and possess a minimum of ten (10) years of demonstrated experience in onshore petroleum operations in the United States. The Petroleum Engineer must be a U.S. citizen or permanent resident to access classified subsurface data.
- Performance Period: All services under this Purchase Order shall commence no later than July 1, 2025, and shall be completed no later than October 31, 2025, unless otherwise extended in writing by mutual agreement of both parties.
- Location of Work: Primary work shall be performed at the buyer's facility at 1200 E. Olympic Boulevard, Los Angeles, CA 90021, United States, and at designated well sites within the Los Angeles Basin. The Petroleum Engineer shall comply with all site-specific safety protocols, including OSHA 29 CFR 1910 and 1926 standards applicable to the United States Los Angeles work area.
- Intellectual Property: All data, models, reports, and deliverables produced under this Purchase Order shall become the sole property of Pacific Basin Energy Solutions, Inc. upon full payment. The Petroleum Engineer and Subterra Engineering & Consulting Group LLC shall not reproduce, publish, or disclose any proprietary information without prior written consent.
- Insurance: The seller shall maintain, at its own expense, Commercial General Liability insurance of not less than $2,000,000 per occurrence, Professional Liability (Errors & Omissions) insurance of not less than $5,000,000, and Workers' Compensation insurance as required by the State of California. Certificates of insurance naming the buyer as additional insured must be provided prior to commencement of work.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services satisfactorily rendered up to the termination date, plus reasonable demobilization costs.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States. Any disputes arising hereunder shall be resolved through binding arbitration in Los Angeles, California, in accordance with the rules of the American Arbitration Association.
- Force Majeure: Neither party shall be liable for delays caused by acts of God, natural disasters (including seismic events common to the United States Los Angeles region), government actions, or other events beyond reasonable control, provided the affected party gives prompt written notice.
All interim and final deliverables shall be submitted to the buyer's project manager at the Los Angeles, United States office no later than the dates specified in the project schedule attached as Exhibit A to this Purchase Order. The buyer shall have fifteen (15) calendar days from receipt to inspect and accept or reject each deliverable. Rejection must be accompanied by a written statement of deficiencies. The Petroleum Engineer shall correct and resubmit rejected items within ten (10) business days at no additional cost to the buyer.
