This Purchase Order authorizes the procurement of specialized professional services rendered by a qualified Petroleum Engineer to support the Buyer's offshore and onshore hydrocarbon exploration and production operations in the United States Miami metropolitan area and the adjacent Gulf of Mexico basin. - Acceptance: This Purchase Order constitutes a binding offer. The Seller's acceptance of this Purchase Order shall be confirmed in writing within five (5) business days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
- Performance Period: All services described herein shall be performed commencing July 1, 2025, and shall be completed no later than December 15, 2025. The Petroleum Engineer assigned to this engagement must maintain valid professional licensure in the State of Florida throughout the duration of the contract.
- Payment Terms: Net 30 days from receipt of a valid invoice. Payment shall be made via wire transfer to the account designated by the Seller. Invoices must reference this Purchase Order number (PO-2025-MIA-PE-0472) for processing.
- Service Location: All on-site services, meetings, and deliverable presentations shall take place at the Buyer's principal office located in United States Miami, Florida, or at such other locations within the United States Miami metropolitan area as mutually agreed upon in writing.
- Confidentiality: The Petroleum Engineer and all personnel under their supervision shall treat all subsurface data, well logs, production figures, and proprietary information as strictly confidential. This obligation survives termination of this Purchase Order for a period of five (5) years.
- Insurance: The Seller shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence and $5,000,000 aggregate, as well as workers' compensation insurance, for the entire term of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services satisfactorily rendered up to the effective date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States of America. Any disputes shall be resolved through binding arbitration in Miami-Dade County, United States Miami, in accordance with the rules of the American Arbitration Association.
- Compliance: The Petroleum Engineer shall comply with all applicable federal, state, and local laws and regulations, including but not limited to the Clean Water Act, the National Environmental Policy Act, and Florida Department of Environmental Protection (FDEP) regulations pertaining to petroleum operations in the United States Miami coastal and inland zones.
- Warranty of Services: The Seller warrants that all analyses, reports, and recommendations provided by the Petroleum Engineer shall be performed in a professional, workmanlike manner consistent with industry best practices and applicable engineering standards.
