- This Purchase Order constitutes a binding procurement agreement between the Uzbekistan National Petroleum Development Corporation and the named service provider for the engagement of a Petroleum Engineer and associated technical deliverables as specified herein.
- The Petroleum Engineer assigned to this contract must hold a minimum of ten (10) years of professional experience in upstream petroleum operations, possess a recognized professional engineering certification (PE, CEng, or equivalent), and demonstrate prior experience working in Central Asian geological formations, particularly those found in the Uzbekistan Tashkent and Navoi sedimentary basins.
- All services shall be performed at the designated operational sites in Uzbekistan Tashkent unless otherwise agreed in writing by both parties. The supplier is responsible for obtaining all necessary work permits, visas, and local registrations required by the Republic of Uzbekistan for the Petroleum Engineer to legally perform professional services within the country.
- Payment shall be made within forty-five (45) calendar days from the date of receipt of a valid invoice, provided that all deliverables for the corresponding billing period have been accepted in writing by the UNPDC Project Manager. Payments shall be processed via international wire transfer to the supplier's designated bank account in USD.
- The Petroleum Engineer shall comply with all applicable health, safety, and environmental (HSE) regulations of the Republic of Uzbekistan, including but not limited to the regulations issued by the State Committee for Geology and Mineral Resources of Uzbekistan and the Ministry of Energy of the Republic of Uzbekistan.
- All technical reports, reservoir models, production forecasts, and proprietary data generated under this Purchase Order shall remain the exclusive intellectual property of the Uzbekistan National Petroleum Development Corporation. The Petroleum Engineer and the supplier shall execute a non-disclosure agreement (NDA) prior to commencing any work in Uzbekistan Tashkent.
- The supplier shall provide a replacement Petroleum Engineer of equivalent or superior qualifications within fifteen (15) business days should the originally assigned engineer become unavailable for any reason, at no additional cost to the buyer.
- This Purchase Order is governed by the commercial laws of the Republic of Uzbekistan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Tashkent, Uzbekistan, in accordance with the rules of the International Commercial Arbitration Court at the Chamber of Commerce and Industry of the Republic of Uzbekistan.
- Force majeure events, including but not limited to natural disasters, government sanctions, or civil unrest affecting Uzbekistan Tashkent or the supplier's home country, shall relieve the affected party from performance obligations for the duration of the event, provided written notice is given within seven (7) days.
- This Purchase Order may be amended only by mutual written agreement signed by authorized representatives of both parties. No verbal modifications shall be considered valid.
