• Participate in joint technical review meetings with the buyer's geoscience and operations departments, held no fewer than twice per month at the buyer's premises in District 1, Vietnam Ho Chi Minh City.
• Ensure all engineering deliverables comply with the standards set forth by the Ministry of Natural Resources and Environment of Vietnam and applicable international petroleum engineering codes (API, SPE, ISO).

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, including the Civil Code and the Law on Foreign Trade Management applicable to petroleum engineering services in Vietnam Ho Chi Minh City.
2. Commencement Date: Services shall commence on 1 August 2025 and continue for a period of twelve (12) months, unless terminated earlier in accordance with Clause 7.
3. Payment Terms: The buyer shall pay the total amount of this Purchase Order in three equal installments: 40% upon contract execution, 30% upon completion of month six, and 30% upon final acceptance of all deliverables. 6. Compliance: The supplier warrants that the Petroleum Engineer personnel engaged under this Purchase Order hold valid professional certifications recognized by the Vietnam Petroleum Association and possess a minimum of eight (8) years of relevant experience in upstream petroleum engineering.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice.
8. Dispute Resolution: Any dispute arising from this Purchase Order shall first be resolved through amicable negotiation. Failing resolution within thirty (30) days, the dispute shall be submitted to the Arbitration Center for Industry and Trade in Vietnam Ho Chi Minh City (ACIA) for binding arbitration.
