4.1 Delivery: All goods listed in this Purchase Order shall be delivered to the buyer's premises at 42, Rue Didouche Mourad, Hydra, Algiers, Algeria, no later than 28 June 2025. Cold-chain items (Ref 02) must arrive in a temperature-logged container and shall be inspected by the on-site Pharmacist before acceptance.
4.2 Quality Assurance: The supplier Pharmacist, Dr. Lila Hamidi, warrants that all pharmaceutical products conform to the standards set by the Algerian Agency for the Safety of the Pharmaceutical Supply Chain (ANSMED). Each shipment must be accompanied by a Certificate of Analysis, batch number, and manufacturing date.
4.3 Payment: Payment of the full Purchase Order amount shall be made via bank transfer to the supplier's account within thirty (30) calendar days of the date of invoice issuance, provided that all goods have been received and verified by the buyer's Pharmacist team. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Algerian commercial law.
4.4 Regulatory Compliance: Both parties acknowledge that this transaction is governed by the Algerian Public Health Code (Loi n° 18-11) and the regulations of the Algerian Pharmacy Council. The supplier Pharmacist must hold a valid professional license and a current pharmacy operating permit issued by the Wilaya d'Alger authorities.
4.5 Returns and Defects: Any product found to be expired, damaged, or non-conforming upon delivery may be returned within five (5) business days. The supplier shall replace defective items at no additional cost or issue a credit note against this Purchase Order.
4.6 Dispute Resolution: Any dispute arising from this Purchase Order shall first be addressed through good-faith negotiation between the buyer and the supplier Pharmacist. Should resolution not be reached within thirty (30) days, the matter shall be submitted to the competent commercial court in Algiers, Algeria.
4.7 Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies declared by the Algerian Ministry of Health.
