  1. Delivery and Service Commencement: All pharmaceutical goods listed in this Purchase Order shall be delivered to the buyer's premises in Bangladesh Dhaka within fourteen (14) calendar days from the date of this Purchase Order. The Pharmacist professional services shall commence within seven (7) calendar days of contract acceptance.
  2. Payment Terms: Payment shall be made in two installments: fifty percent (50%) as an advance upon signing of this Purchase Order, and the remaining fifty percent (50%) within thirty (30) days of full delivery and satisfactory acceptance of all goods and services. Payment shall be processed via bank transfer to the supplier's designated account in Bangladesh Dhaka.
  3. Pharmacist Qualification and Compliance: The Pharmacist engaged under this Purchase Order must hold a valid registration certificate issued by the Bangladesh Pharmacy Council and a recognized Bachelor of Pharmacy (B.Pharm) or Master of Pharmacy (M.Pharm) degree. The Pharmacist shall comply with all provisions of the Bangladesh Pharmacy Act, 2020, and any applicable regulations enforced within Bangladesh Dhaka.
  4. Quality Assurance: All pharmaceutical products supplied under this Purchase Order must be manufactured by Bangladesh Drug Administration (BDA)-approved manufacturers, bear valid batch numbers, and carry a minimum of twelve (12) months remaining shelf life at the time of delivery to Bangladesh Dhaka.
  5. Warranty and Returns: The supplier warrants that all equipment and pharmaceutical goods are free from defects. Any defective items shall be replaced within five (5) business days at no additional cost. The Pharmacist service contract includes a thirty (30)-day performance guarantee period.
  6. Confidentiality: Both parties agree to maintain strict confidentiality regarding patient records, prescription data, and proprietary business information handled by the Pharmacist and the pharmacy operations in Bangladesh Dhaka.
  7. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Bangladesh Dhaka.
  8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from natural disasters, government-imposed restrictions, or other events beyond reasonable control, particularly those affecting operations in Bangladesh Dhaka.
  9. Amendments: Any modification to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements regarding the Pharmacist engagement or pharmaceutical supply terms shall not be binding.
