1. Scope of Engagement: The Seller shall provide all Pharmacist personnel listed in the line items above, each holding a valid Chinese Licensed Pharmacist Certificate (执业药师资格证) issued by the National Medical Products Administration (NMPA) and registered with the Guangzhou Municipal Health Commission. All Pharmacist staff must be physically stationed at the designated locations within China Guangzhou as specified.
2. Delivery & Commencement: All Pharmacist personnel shall report for duty no later than 1 July 2025. Pharmaceutical supplies and reference materials shall be delivered to the Buyer's Guangzhou headquarters within five (5) business days of this Purchase Order's execution.
3. Payment Terms: Payment shall be made via bank transfer to the Seller's designated account within thirty (30) calendar days of receipt of a valid invoice. The Buyer shall remit payment in Renminbi (CNY) to the following account: Bank of China, Guangzhou Branch, Account No. 7559 8821 0034 5678, Beneficiary: Guangzhou Baiyun Pharmaceutical Services Ltd.
4. Compliance & Licensing: The Seller warrants that every Pharmacist deployed under this Purchase Order holds current, unexpired professional licenses valid in the Guangzhou municipality. The Seller shall maintain all necessary permits for pharmaceutical operations in accordance with the Drug Administration Law of the PRC and local Guangzhou regulations.
5. Performance Standards: Pharmacist personnel shall adhere to the clinical pharmacy practice guidelines established by the Guangzhou Medical Association and the Guangdong Provincial Health Commission. Failure to meet service-level benchmarks for two consecutive months shall entitle the Buyer to terminate this Purchase Order with fourteen (14) days' written notice.
6. Confidentiality: Both parties agree to maintain strict confidentiality regarding patient data, proprietary pharmaceutical formulations, and commercial terms. All Pharmacist staff shall sign individual Non-Disclosure Agreements compliant with the Personal Information Protection Law of the PRC before commencing duties in Guangzhou.
7. Dispute Resolution: Any disputes arising from this Purchase Order shall first be resolved through amicable negotiation. Should negotiation fail, the matter shall be submitted to the Guangzhou International Arbitration Center (GIAC) for binding arbitration in accordance with its rules. The seat of arbitration shall be Guangzhou, China.
8. Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Guangzhou, or public health emergencies as declared by the Guangzhou Municipal Government.
9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the People's Republic of China and applicable pharmaceutical regulations in force in Guangzhou, Guangdong Province.
10. Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. Any change in Pharmacist staffing levels, service locations within China Guangzhou, or pricing shall require a formal amendment annexed to this document.
