4. TERMS AND CONDITIONS- Regulatory Compliance: The Pharmacist guarantees that all pharmaceutical products listed in this Purchase Order are registered with INVIMA and comply with the national health regulations of Colombia. The Pharmacist shall provide all corresponding registration certificates and batch documentation upon delivery.
- Delivery Location: All items shall be delivered to the buyer's warehouse located at Calle 43 # 48A-120, El Poblado, Medellín, Antioquia, Colombia. The Pharmacist is responsible for arranging safe transport within the Colombia Medellín metropolitan area, ensuring cold-chain integrity for temperature-sensitive products.
- Payment Terms: Payment shall be made via bank transfer (Transferencia Bancaria) within 30 calendar days from the date of invoice issuance. The buyer's bank: Bancolombia, Account No. 001-789-456-2, Branch Medellín Centro. The Pharmacist shall issue a formal electronic invoice (Factura Electrónica) compliant with DIAN regulations in Colombia.
- Quality Assurance: The Pharmacist shall conduct a pre-delivery quality inspection of all pharmaceutical items. Any product found to be expired, damaged, or non-compliant with the specifications in this Purchase Order shall be replaced at no additional cost to the buyer within 5 business days.
- Professional Services: The Pharmacist's consulting hours (Item 005) shall be scheduled by mutual agreement and shall focus on inventory optimization, regulatory compliance audits, and staff training in proper pharmaceutical handling procedures at the Colombia Medellín facility.
- Warranty: All equipment (Item 006) carries a minimum 24-month manufacturer warranty. The Pharmacist shall coordinate warranty claims and technical support on behalf of the buyer.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding pricing, product formulations, and business operations. This clause remains in effect for 3 years following the completion of this Purchase Order.
