This Purchase Order is issued by Hôpital Central de Kinshasa to formally engage the services of a qualified Pharmacist for the provision of pharmaceutical management, dispensing, and clinical pharmacy support within the hospital's outpatient and inpatient departments. 3.1 – This Purchase Order constitutes a binding agreement between the Buyer and the Supplier for the provision of Pharmacist services as described herein. Both parties acknowledge that the services shall be rendered exclusively at the Hôpital Central de Kinshasa premises located in the Gombe commune of Kinshasa, DR Congo.
3.2 – The Pharmacist must hold a valid licence issued by the Ordre des Pharmaciens de la RDC and maintain professional indemnity insurance with a minimum coverage of USD 50,000 throughout the duration of this Purchase Order.
3.3 – Payment shall be made on a monthly basis within fifteen (15) calendar days following the submission of an itemised invoice by the Pharmacist. All payments shall be processed in United States Dollars (USD) via bank transfer to the account designated by the Supplier, in accordance with the foreign exchange regulations of the Banque Centrale du Congo.
3.4 – The Buyer reserves the right to audit the Pharmacist's records, dispensing logs, and inventory reports at any reasonable time with forty-eight (48) hours' prior written notice. Failure to maintain accurate records as required by the DR Congo Ministry of Health shall constitute a material breach of this Purchase Order.
3.5 – Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for cause, the Pharmacist shall be compensated only for services rendered up to the effective date of termination.
3.6 – All disputes arising from this Purchase Order shall be resolved through mediation in Kinshasa, DR Congo, in accordance with the laws of the République Démocratique du Congo. If mediation fails, the matter shall be referred to the competent commercial court of Kinshasa.
3.7 – The Pharmacist shall comply with all data protection and patient confidentiality obligations under Congolese law. No patient records or pharmaceutical data obtained during the performance of this Purchase Order shall be disclosed to any third party without the written consent of the Buyer.
Services under this Purchase Order shall commence on 1 July 2025 and conclude on 30 June 2026, unless extended by mutual written agreement. The Pharmacist shall report to the Head of Pharmacy at Hôpital Central de Kinshasa, Kinshasa, DR Congo, on each working day between 07:00 and 17:00, with a one-hour unpaid lunch break. Emergency on-call duties shall be compensated at a rate of USD 75.00 per shift.
This Purchase Order is authorised and executed by the undersigned representatives of both parties. By signing below, each party confirms that it has read, understood, and agrees to all terms, conditions, and obligations set forth in this document regarding the engagement of the Pharmacist in Kinshasa, DR Congo.
