Note to Supplier: All pharmaceutical products must be delivered in their original, unopened packaging with valid batch numbers and expiry dates of no less than 18 months from the date of delivery. Cold-chain items (Line 4) must be transported in validated insulated containers with temperature data loggers. The Pharmacist reserves the right to inspect and reject any shipment that does not meet the quality standards mandated by the French Agency for Medicines and Health Products (ANSM) or the European Directorate for the Quality of Medicines (EDQM). Delivery must be made to the pharmacy premises in France Lyon between 08:00 and 17:00 CET, Monday through Friday.

Terms and Conditions of this Purchase Order

  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic, specifically the Code de la Santé Publique and the Code de Commerce. Any disputes arising from this order shall be subject to the exclusive jurisdiction of the Tribunal de Commerce de Lyon, France Lyon.
  2. Delivery Terms: Delivery shall be made Incoterms 2020 DAP (Delivered at Place) to the pharmacy address in France Lyon. The supplier bears all risk of loss or damage until the goods are physically received and signed for by the Pharmacist or an authorized delegate at the pharmacy counter.
  3. Payment Terms: Payment shall be made by bank transfer (virement bancaire) within 30 days of the date of the supplier's invoice, provided that the goods have been received in full and in conformity with this Purchase Order. Late payments shall accrue interest at the rate prescribed by Article L441-10 of the French Commercial Code.
  4. Quality Assurance: The supplier warrants that all pharmaceutical products supplied under this order are manufactured in compliance with Good Manufacturing Practice (GMP) as defined by the European Union and are registered with the ANSM. The Pharmacist shall perform a visual and documentary inspection upon receipt. Any non-conforming product must be reported within 48 hours and replaced at the supplier's sole expense.
  5. Pharmacovigilance: The Pharmacist in France Lyon retains full responsibility for the dispensing, storage, and patient counseling associated with all products purchased under this order, in accordance with the professional obligations of the Ordre des Pharmaciens de France.
  6. Validity: This Purchase Order is valid for acceptance within 10 business days from the date of issue. If the supplier does not confirm acceptance in writing within this period, the order shall be considered lapsed and may be reissued or directed to an alternative supplier.
  7. Confidentiality: All pricing, patient-related data, and operational details exchanged in connection with this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without the prior written consent of the Pharmacist, in compliance with the French Data Protection Act and the GDPR.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this order due to events beyond reasonable control, including but not limited to natural disasters, epidemics, government sanctions, or supply chain disruptions affecting the France Lyon region.
