All goods under this Purchase Order shall be delivered to the Pharmacist's registered pharmacy premises at Bockenheimer Landstraße 142, 60323 Frankfurt am Main, Germany. Delivery shall be completed no later than 28 June 2025. The supplier is responsible for all transportation, insurance, and cold-chain integrity up to the point of delivery at the Frankfurt facility. Any temperature excursion in pharmaceutical products during transit within the Germany Frankfurt metropolitan area shall be documented and reported to the Pharmacist within 4 hours of delivery. The Pharmacist reserves the right to reject any lot that does not meet the specifications outlined in the German Pharmacopoeia (Deutsches Arzneibuch – AB).
5. Terms & Conditions- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. The exclusive jurisdiction for any disputes arising from this Purchase Order shall be the competent court in Frankfurt am Main, Hesse, Germany.
- Payment Terms: Net 30 days from the date of invoice. Payment shall be made via SEPA bank transfer to the supplier's designated account. Late payments shall accrue interest at the statutory rate under §288 of the German Civil Code (BGB).
- Quality Assurance: All pharmaceutical products must comply with the German Medicines Act (Arzneimittelgesetz – AMG) and the European Pharmacopoeia. The Pharmacist is entitled to request Certificates of Analysis (CoA) for every batch delivered.
- Regulatory Compliance: The supplier warrants that all items are legally distributable within Germany Frankfurt and the broader Hesse region. Prescription-only medicines (Rezeptpflichtige Arzneimittel) shall be shipped only against valid electronic prescriptions (E-Rezept) as mandated by the German Federal Joint Committee (G-BA).
- Warranty: All equipment and software items carry a minimum 24-month manufacturer warranty. Pharmaceutical products must have a remaining shelf life of no less than 12 months at the time of delivery to the Pharmacist in Frankfurt.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting the Germany Frankfurt region.
- Confidentiality: Both the Pharmacist and the supplier agree to maintain strict confidentiality regarding patient data, prescription records, and commercial terms in accordance with the German Federal Data Protection Act (BDSG) and the EU General Data Protection Regulation (GDPR).
- Amendments: Any modification to this Purchase Order must be made in writing and signed by both the Pharmacist and an authorized representative of the supplier. Verbal agreements are not binding.
