Terms and Conditions of This Purchase Order
- This Purchase Order is issued by the undersigned Pharmacist, Pharm. Kwame Asante, acting in his capacity as Lead Pharmacist and Procurement Officer for Accra Pharmaceutical Supply Co., Ltd., located in Ghana Accra. All pharmaceutical products listed herein must comply with the regulations of the Food and Drugs Authority (FDA) of Ghana and the Pharmacy Council of Ghana.
- The supplier, MedSupply West Africa Ltd., confirms that all items on this Purchase Order are genuine, unexpired, and manufactured in compliance with Good Manufacturing Practice (GMP) standards. Certificates of Analysis (CoA) and batch numbers must accompany each delivery to the Ghana Accra warehouse.
- Delivery of all items under this Purchase Order shall be made to the designated warehouse address in Osu, Accra, Ghana, no later than 28 June 2025. Late delivery beyond five (5) business days entitles the Pharmacist buyer to cancel this Purchase Order without penalty and seek alternative supply.
- Payment of GH₵ 273,757.50 (Two Hundred and Seventy-Three Thousand Seven Hundred and Fifty-Seven Ghanaian Cedis and Fifty Cents) shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days of receipt of a valid tax invoice, subject to satisfactory inspection and acceptance by the Pharmacist buyer.
- All cold-chain items (Items 4 and 7) must be transported in validated refrigerated containers maintained between 2°C and 8°C throughout transit within Ghana Accra. Temperature loggers must be included, and any deviation exceeding 2°C will result in rejection of the affected shipment at the supplier's cost.
- The Pharmacist buyer reserves the right to inspect all goods upon arrival at the Ghana Accra facility. Any damaged, expired, or non-conforming items will be returned to the supplier within seven (7) days, and the supplier shall replace them or issue a credit note within ten (10) business days.
- This Purchase Order is governed by the laws of the Republic of Ghana. Any disputes arising from this Purchase Order shall be resolved through the courts of competent jurisdiction in Accra, Ghana.
- The supplier warrants that all pharmaceutical products supplied under this Purchase Order are registered with the Ghana FDA and that the Pharmacist buyer will not be held liable for any regulatory non-compliance attributable to the supplier's products.
- This Purchase Order becomes effective upon written or electronic acceptance by both parties. No modification to this Purchase Order shall be valid unless made in writing and signed by both the Pharmacist buyer and the authorized representative of the supplier.
