This Purchase Order is issued by MediCare Health Solutions Pvt. 4.1 This Purchase Order is governed by the laws of the Republic of India and shall be interpreted in accordance with the Indian Contract Act, 1872. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in India Bangalore.
4.2 The Pharmacist engaged under this Purchase Order must hold a valid registration with the Karnataka State Pharmacy Council and must maintain all professional indemnity insurance coverage throughout the term of engagement in India Bangalore.
4.3 Payment shall be processed via NEFT/RTGS to the bank account designated by the Pharmacist. Invoices must be submitted by the 5th of each month for the preceding month's services. The Buyer reserves the right to withhold payment for any services not rendered to the standard specified in this Purchase Order.
4.4 The Pharmacist shall comply with all data protection requirements under the Digital Personal Data Protection Act, 2023, and shall maintain strict confidentiality of all patient records handled at the India Bangalore facility.
4.5 Either party may terminate this Purchase Order with a written notice of 60 days. In the event of termination, the Pharmacist shall be compensated for services rendered up to the effective date of termination, and all pharmaceutical inventory under the Pharmacist's custody shall be returned to the Buyer.
4.6 The Buyer reserves the right to conduct periodic performance reviews of the Pharmacist. Failure to meet the Key Performance Indicators (KPIs) outlined in the annexure to this Purchase Order for two consecutive quarters may result in renegotiation or termination of this Purchase Order.
4.7 All pharmaceutical products dispensed or managed under this Purchase Order must be sourced from licensed distributors in India Bangalore and must comply with the standards of the Indian Pharmacopoeia (IP).
5. Delivery and CommencementThe Pharmacist shall report for duty at the India Bangalore facility located at Prestige Tech Park, Outer Ring Road, Whitefield, India Bangalore – 560066, no later than 1st July 2025. The initial onboarding period of 30 days shall be considered part of the engagement term. The Pharmacist is expected to be fully operational and independent in all pharmaceutical duties within the first 14 calendar days of commencement.
6. Acceptance and AuthorisationBy signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Pharmacist in India Bangalore. This document constitutes a binding agreement between the parties upon execution.
