5. Terms and Conditions- This Purchase Order is governed by the laws of the Republic of India and shall be interpreted in accordance with the Indian Contract Act, 1872, as applicable in the jurisdiction of India Mumbai.
- The Pharmacist candidates procured under this Purchase Order must hold a valid registration certificate issued by the Maharashtra State Pharmacy Council or the Pharmacy Council of India. The supplier shall provide certified copies of all Pharmacist registrations prior to commencement of duties.
- All Pharmacist personnel shall comply with the Drugs and Cosmetics Rules, 1945, and any amendments thereto, as enforced by the Mumbai Municipal Corporation and the Maharashtra State Drug Controller's office.
- The supplier shall ensure that each Pharmacist is covered under the applicable Employee Provident Fund (EPF), Employee State Insurance (ESI), and Professional Tax (PT) regulations as mandated for employment in India Mumbai.
- Payment shall be made within thirty (30) days from the date of receipt of a valid tax invoice, subject to satisfactory completion of the Pharmacist onboarding and verification process.
- The supplier warrants that all Pharmacist services rendered shall be free from any intellectual property disputes, regulatory violations, or professional misconduct. Any breach of this warranty shall render the supplier liable for full refund of amounts paid under this Purchase Order.
- Disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India Mumbai.
- This Purchase Order shall remain valid for thirty (30) days from the date of issue. Any extension beyond this period requires written mutual consent from both parties.
- The Pharmacist engagement period under this Purchase Order is for an initial term of twelve (12) months, renewable upon mutual agreement and subject to performance evaluation.
- All data and patient information handled by the Pharmacist personnel shall be protected in accordance with the Information Technology Act, 2000, and applicable data privacy regulations in India Mumbai.
