This Purchase Order is issued by MediCare Health Solutions Pvt. Ltd. (hereinafter referred to as the "Buyer") to Delhi Allied Healthcare Staffing Services LLP (hereinafter referred to as the "Supplier") for the procurement and deployment of qualified Pharmacist professional services at the Buyer's retail pharmacy outlets and inpatient pharmacy units located across India New Delhi. The services encompass dispensing of prescription medications, patient counselling, inventory management of pharmaceutical products, compliance with the Drugs and Cosmetics Act, 1940, and adherence to the guidelines issued by the Delhi Drug Controller and the Pharmacy Council of India.

3. Terms and Conditions- Commencement: The Pharmacist services shall commence on 01 July 2025 at the designated locations in India New Delhi. The Supplier shall ensure that the Pharmacist(s) report for duty no later than 08:00 AM on the first working day.
- Qualification and Registration: Every Pharmacist deployed under this Purchase Order must hold a valid registration with the Delhi State Pharmacy Council and a current licence issued under the Drugs and Cosmetics Act, 1940. Copies of registration certificates shall be submitted to the Buyer prior to commencement.
- Payment Terms: Payment shall be made within 30 days of receipt of a valid tax invoice from the Supplier. Payment shall be processed via NEFT/RTGS to the Supplier's designated bank account in New Delhi, India. Late payments shall attract interest at 12% per annum as per the Micro, Small and Medium Enterprises Development (MSMED) Act, 2006, if applicable.
- Performance Standards: The Pharmacist shall maintain a dispensing accuracy rate of no less than 99.5%. Any medication error resulting in patient harm shall be reported to the Buyer within 4 hours and shall be subject to contractual penalty as per Schedule A of this Purchase Order.
- Confidentiality: The Pharmacist and the Supplier shall maintain strict confidentiality regarding patient records, prescription data, and proprietary formulary information in accordance with the Information Technology Act, 2000, and the Data Protection guidelines issued by the Government of India.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of gross misconduct, regulatory non-compliance, or repeated failure to meet performance benchmarks, the Buyer reserves the right to terminate immediately without notice.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by the laws of India. Any disputes arising out of or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.
- Substitution: The Supplier shall not substitute the assigned Pharmacist without prior written consent from the Buyer. Any replacement Pharmacist must meet or exceed the qualifications specified in this Purchase Order.
- Insurance: The Supplier shall maintain professional indemnity insurance covering the Pharmacist for a minimum sum of ₹ 50,00,000 (Rupees Fifty Lakh) for the duration of this engagement in India New Delhi.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns, or regulatory moratoriums declared by the Government of India or the Delhi Municipal Corporation.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of Pharmacist professional services in India New Delhi. All terms, conditions, and specifications outlined herein are accepted in full.
