1. Purpose of This Purchase Order

This Purchase Order is formally issued by Tehran Central Pharmacy Group Co., a registered pharmaceutical distribution entity operating in Iran Tehran, to procure the professional services of a licensed Pharmacist along with associated pharmaceutical supplies, equipment, and regulatory compliance services. This document governs the terms, conditions, scope of work, and financial obligations between the Buyer and the Supplier for the period specified herein. 2. Scope of Services – Pharmacist Role in Iran Tehran

The Pharmacist engaged under this Purchase Order shall provide comprehensive pharmaceutical services at the Buyer's primary facility located in the heart of Iran Tehran. The scope of the Pharmacist's duties includes, but is not limited to: the dispensing and verification of prescriptions in compliance with Iranian pharmaceutical law; the management and inventory control of controlled substances as mandated by the Ministry of Health, Treatment and Medical Education; patient counseling and medication therapy management; the oversight of pharmaceutical compounding operations; and the maintenance of all required documentation for regulatory inspections conducted by the Tehran Provincial Health Authority. The Pharmacist must hold a valid license issued by the Iranian Pharmaceutical Council and must be registered with the Tehran branch of the Iranian Pharmaceutical Association to perform all duties outlined in this Purchase Order.

4. Terms and Conditions
  1. Validity: This Purchase Order is valid for a period of twelve (12) months from the date of issue and is specific to operations conducted within the metropolitan area of Iran Tehran. Any extension beyond this period requires a written amendment signed by both parties.
  2. Pharmacist Qualifications: The Pharmacist must maintain an active, unexpired license throughout the duration of this Purchase Order. Failure to maintain licensure with the Iranian Pharmaceutical Council shall constitute immediate grounds for termination of this Purchase Order without penalty to the Buyer.
  3. Payment Schedule: All payments under this Purchase Order shall be made in Iranian Rials (IRR) via bank transfer to the account designated by the Supplier. Payments are due within thirty (30) calendar days of invoice submission, in accordance with standard commercial practice in Iran Tehran.
  4. Regulatory Compliance: The Pharmacist and the Buyer jointly bear responsibility for ensuring that all pharmaceutical activities conducted under this Purchase Order comply with the regulations of the Iranian Food and Drug Administration, the Ministry of Health, and the Tehran Provincial Health Authority. Non-compliance may result in fines, operational suspension, or legal action under Iranian law.
  5. Confidentiality: All patient records, prescription data, and proprietary pharmaceutical information handled by the Pharmacist in the course of this Purchase Order shall be treated as strictly confidential in accordance with Iranian data protection regulations and professional ethical codes of the Tehran Pharmaceutical Association.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, all outstanding pharmaceutical inventory and equipment procured under this Purchase Order shall be accounted for and transferred according to the terms herein.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Islamic Republic of Iran. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Iran Tehran or through arbitration as prescribed by Iranian commercial law.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions affecting pharmaceutical imports into Iran, or public health emergencies declared by the Iranian government.
5. Acceptance and Authorization

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the procurement of Pharmacist services and associated pharmaceutical resources in Iran Tehran. This document constitutes a binding agreement between the parties for the duration specified herein.
