TERMS AND CONDITIONS
  1. Delivery: All goods shall be delivered DDP (Delivered Duty Paid) to the receiving pharmacy address in Al-Karada District, Baghdad, Iraq. The vendor bears all transportation, insurance, and customs clearance responsibilities until the goods are physically received by the pharmacist at the designated Baghdad location.
  2. Quality Assurance: All pharmaceutical products must comply with the regulations of the Iraqi Ministry of Health, Directorate General of Drug and Medical Devices (DGDM). The pharmacist, Dr. Hanaa Al-Karim, reserves the right to reject any batch that does not meet the Iraqi Pharmacopoeia standards or lacks valid Certificate of Analysis (CoA) and Certificate of Free Sale (CFS) issued by the country of origin.
  3. Cold Chain Integrity: Temperature-sensitive items (Line Item 3) must be transported in validated cold-chain packaging maintaining 2–8°C throughout transit from Dubai to Baghdad. A continuous temperature data logger must accompany each shipment. The pharmacist will verify temperature logs upon receipt in Baghdad.
  4. Payment: Payment of the full Purchase Order amount of 31,878,000 IQD shall be made via bank transfer to the vendor's designated account within thirty (30) calendar days from the date of confirmed receipt and acceptance of all goods by the pharmacist at the Baghdad pharmacy. Bank: Central Bank of Iraq, Branch: Baghdad – Al-Mansour. SWIFT: CBIQIQBB.
  5. Warranty: All equipment items (Lines 4, 5, 8) carry a minimum 24-month manufacturer warranty. The vendor shall provide a local service agent in Baghdad, Iraq, for after-sales support and spare parts availability.
  6. Regulatory Compliance: The vendor warrants that all pharmaceutical products listed herein are legally importable into the Republic of Iraq and hold valid registration with the Iraqi Ministry of Health. Any regulatory non-compliance discovered after delivery shall be the sole financial responsibility of the vendor.
  7. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Baghdad, Iraq, in accordance with the Iraqi Arbitration Law No. 10 of 1970, as amended. The governing law shall be the laws of the Republic of Iraq.
  8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to political instability, sanctions, or natural disasters affecting the Baghdad region or the broader Middle East corridor.
  9. Validity: This Purchase Order is valid for acceptance within ten (10) business days from the date of issue. The pharmacist in Baghdad may amend or cancel this order in writing prior to the vendor's confirmation of shipment.
NOTE TO VENDOR: All shipments destined for this pharmacist in Baghdad, Iraq, must be accompanied by a complete set of import documentation including: Commercial Invoice, Packing List, Bill of Lading/Airway Bill, Certificate of Origin, Certificate of Analysis, Certificate of Free Sale, and the Iraqi Ministry of Health import permit (Form 7).
