All physical goods referenced in this Purchase Order shall be delivered to the receiving address of Pharmacia San Carlo at Via Toledo, 142, 80132 Naples (NA), Italy. Delivery must be completed no later than 28 June 2025. The Seller is responsible for all transport costs, insurance, and customs documentation should any cross-border components be involved. Temperature-sensitive pharmaceutical items (Items 01, 02, and 06) must be transported in validated cold-chain packaging to maintain integrity in accordance with Italian pharmaceutical distribution regulations (D.Lgs. 219/2006). The Pharmacist on duty at the Naples premises shall inspect all incoming stock upon arrival and sign the delivery manifest. Any discrepancies, damaged packaging, or expired batch numbers must be reported to the Seller within 48 hours of receipt.
Payment for this Purchase Order shall be made via bank transfer (bonifico bancario) to the Seller's designated IBAN account within 30 calendar days from the date of invoice issuance, in accordance with standard commercial practice in Italy Naples. The Buyer shall include the Purchase Order number (IT-NA-2025-04871) in the payment reference field. Late payments shall accrue interest at the rate prescribed by Italian Legislative Decree 231/2002. - This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon countersignature by both parties. It supersedes all prior quotations, verbal agreements, or correspondence relating to the items described herein.
- All pharmaceutical products supplied under this order must hold a valid marketing authorisation (AIC) issued by the Italian Medicines Agency (AIFA) and must be manufactured in compliance with EU Good Manufacturing Practice (GMP) standards.
- The Seller warrants that all Pharmacist-grade equipment and laboratory instruments are new, unused, and carry a minimum 24-month manufacturer's warranty valid throughout the territory of Italy, with service centres accessible from Naples.
- The professional development course (Item 05) shall be conducted in Italian at a venue in Naples, Campania. The Seller guarantees that the course content has been reviewed and approved by the Ordine dei Farmacisti di Napoli e Provincia for Continuing Professional Development (CPD) credit recognition.
- Both parties agree to comply with all applicable data protection obligations under the EU General Data Protection Regulation (GDPR) and the Italian Privacy Code (D.Lgs. 196/2003, as amended by D.Lgs. 101/2018). Patient data processed through the counselling software (Item 07) shall be stored exclusively on servers located within the national territory of Italy.
- In the event of a supply disruption, the Seller shall notify the Buyer's Pharmacist in writing within 24 hours and propose an alternative delivery schedule. Repeated failure to meet delivery deadlines (more than two instances within a 12-month period) shall entitle the Buyer to terminate this Purchase Order without penalty.
- Any disputes arising from this Purchase Order shall be resolved through the competent courts of Naples (Tribunale di Napoli), in accordance with Italian civil and commercial law. The parties may, however, first attempt mediation through the Camera di Commercio di Napoli.
- This document is governed by the laws of the Italian Republic. All references to "Italy Naples" in this Purchase Order denote the city of Naples and its metropolitan administrative area within the Campania region.
By signing below, both parties confirm that they have read, understood, and agree to all terms set forth in this Purchase Order. The Buyer's signature is authorised by the Lead Pharmacist of Pharmacia San Carlo, who holds the legal representative mandate for the entity.
