- Governing Law: This Purchase Order is governed by the laws of the Italian Republic, specifically the Italian Civil Code (Codice Civile, Libro IV – Delle obbligazioni in generale) and the provisions of Legislative Decree 219/2006 (Codice del Farmaco) as amended. All disputes shall be subject to the exclusive jurisdiction of the Tribunale di Roma.
- Delivery: All pharmaceutical products listed in this Purchase Order shall be delivered to the premises of Farmacia San Pietro in Vincoli, Via dei Fori Imperiali 42, 00186 Rome (RM), Italy, within fifteen (15) calendar days from the date of this Purchase Order. Cold-chain items (Item 02) must be delivered in validated temperature-controlled packaging with continuous temperature logging, in compliance with EU GDP (Good Distribution Practice) guidelines and Italian AIFA requirements.
- Payment Terms: Payment shall be made via bank transfer (bonifico bancario) to the supplier's designated IBAN within thirty (30) days from the date of the supplier's invoice (fattura elettronica), in accordance with Italian electronic invoicing regulations (SdI – Sistema di Interscambio). Late payments shall accrue interest at the rate established by the European Commission Regulation (EC) No. 2011/7.
- Quality Assurance: The Pharmacist (Dott.ssa Ferrante) reserves the right to inspect all delivered pharmaceutical products upon receipt at the Rome pharmacy. Any product found to be expired, damaged, improperly stored, or non-conforming to the specifications stated in this Purchase Order shall be rejected and replaced at the supplier's sole expense within five (5) business days.
- Regulatory Compliance: The supplier warrants that all pharmaceutical products supplied under this Purchase Order are fully authorized for sale in Italy by the Agenzia Italiana del Farmaco (AIFA) and comply with all applicable EU pharmaceutical legislation, including Directive 2001/83/EC and Regulation (EC) No. 726/2004. The supplier shall provide all necessary documentation, including batch numbers, certificates of analysis, and AIC (Autorizzazione all'Immissione in Commercio) references.
- Pharmacist Obligations: The Pharmacist, as the legal holder (titolare) of the pharmacy in Rome, confirms that all products procured under this Purchase Order shall be stored, dispensed, and managed in strict accordance with the professional obligations set forth in the Codice Deontologico del Farmacista and the regulations of the Ordine dei Farmacisti della Provincia di Roma.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the quantities of pharmaceutical products ordered, and any patient-related data that may be incidentally processed, in compliance with the Italian Data Protection Code (D.Lgs. 196/2003) and the EU General Data Protection Regulation (GDPR, Regulation 2016/679).
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting the Rome metropolitan area, government-mandated closures, or supply chain disruptions declared by AIFA or the Italian Ministry of Health.
- Validity: This Purchase Order is valid for a period of ninety (90) days from the date of issue. Any unfulfilled items after this period shall require a new Purchase Order issued by the Pharmacist.
