NOTE: All pharmaceutical products listed in this Purchase Order must comply with the regulatory standards set by the Agence Nationale de la Pharmacie et du Médicament (ANPM) of the Republic of Côte d'Ivoire. The receiving Pharmacist, Dr. Kouassi Aya, reserves the right to inspect and reject any lot that does not meet the required quality, expiry, or labeling specifications upon delivery at the Abidjan premises. TERMS AND CONDITIONS

Delivery: The supplier shall deliver all items listed in this Purchase Order to the designated address in Abidjan, Ivory Coast, within fourteen (14) calendar days from the date of order confirmation. Delivery shall be made during the receiving hours specified above. The Pharmacist or an authorized representative of Pharmacie du Plateau must be present to sign the delivery receipt.
Quality Assurance: All pharmaceutical products must be accompanied by valid Certificates of Analysis (CoA), batch numbers, and expiry dates of no less than eighteen (18) months from the date of delivery. The Pharmacist shall conduct a visual and documentation inspection prior to acceptance.
Payment: Payment of the full amount of 23,866,820 XOF shall be made via bank transfer to the supplier's designated account within thirty (30) days of the date of confirmed delivery and acceptance by the Pharmacist. Late payments shall incur a penalty of 1.5% per month.
Warranty: All equipment items (Ref 04, 05, 08) carry a minimum twelve (12) month manufacturer's warranty. The Pharmacist shall notify the supplier in writing within five (5) business days of discovering any defect.
Regulatory Compliance: The supplier warrants that all products are legally importable and distributable within the Ivory Coast Abidjan jurisdiction and hold valid ANPM registration. The Pharmacist shall not be held liable for regulatory non-compliance attributable to the supplier.
Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the competent commercial court of Abidjan, Ivory Coast.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or port closures affecting the Abidjan harbor.
Confidentiality: Both parties agree to maintain confidentiality regarding pricing, quantities, and business terms contained in this Purchase Order. The Pharmacist's patient data and dispensing records shall remain strictly confidential under Ivorian data protection law.
