All physical goods and equipment specified in this Purchase Order shall be delivered to the designated Japan Osaka facility located at 2F, Umeda Medical Tower, 15-8-3 Umeda, Kita-ku, Osaka 530-0001, Japan. The Pharmacist professional services shall commence on July 1, 2025, and the Pharmacist shall report to the Osaka Metropolitan Health & Wellness Consortium's central coordination office in Nakanoshima, Kita-ku, Osaka, for initial onboarding and regulatory registration verification.
Delivery of pharmaceutical inventory and dispensing equipment is scheduled no later than June 28, 2025, to allow the Pharmacist adequate time for inventory verification, equipment calibration, and facility readiness assessment prior to the commencement of patient-facing services in Japan Osaka.
- Pharmacist Qualification: The Pharmacist engaged under this Purchase Order must hold a valid Japanese Pharmacist Licence (Yakushi Shoken) issued by the Ministry of Health, Labour and Welfare, and must be registered with the Osaka Pharmaceutical Association. The Pharmacist must maintain all continuing education credits required by Japanese regulatory authorities throughout the contract period.
- Regulatory Compliance: All services rendered by the Pharmacist and all pharmaceutical products procured under this Purchase Order must comply with the Japanese Pharmaceutical Affairs Act, the Medical Care Act, and all local ordinances applicable within Japan Osaka Prefecture. The Pharmacist shall ensure that all prescription verifications, medication counselling, and dispensing activities meet the standards set by the Osaka Prefectural Board of Pharmacy.
- Payment Terms: Payment for professional Pharmacist services shall be made on a monthly basis within 30 days of invoice receipt. Payment for equipment and pharmaceutical inventory shall be made within 45 days of confirmed delivery and acceptance at the Japan Osaka facility. All payments shall be made in Japanese Yen (JPY) via bank transfer to the account designated by the Seller.
- Performance Standards: The Pharmacist shall maintain a minimum patient satisfaction rating of 90% as measured by quarterly surveys conducted by the Consortium. Failure to meet this standard for two consecutive quarters shall constitute grounds for review of this Purchase Order.
- Confidentiality: The Pharmacist shall adhere to all patient privacy obligations under the Japanese Act on the Protection of Personal Information (APPI) and the specific data handling protocols of the Japan Osaka healthcare network. All patient records, prescription data, and pharmaceutical information shall be treated as strictly confidential.
- Termination: Either party may terminate this Purchase Order with 60 days written notice. - Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Osaka, Japan, in accordance with the rules of the Japan Commercial Arbitration Association.
