4.2 All pharmaceutical activities conducted under this Purchase Order in Japan Tokyo shall strictly adhere to the Pharmaceutical and Medical Devices Act, the Tokyo Metropolitan Pharmacy Ordinance, and the guidelines published by the Japan Pharmacists Association. Any deviation must be reported to the Buyer within 24 hours.

4.3 The Pharmacist shall maintain professional liability insurance with a minimum coverage of 100,000,000 JPY, issued by a Japan Tokyo-registered insurance carrier, for the full term of this Purchase Order.

4.4 Payment terms: Net 30 days from the date of invoice issuance. Payment shall be made via bank transfer to the vendor's registered account in Japan Tokyo. Late payments shall incur interest at the rate of 1.5% per month as stipulated under Japanese commercial law.

4.5 Delivery and service commencement: All services under this Purchase Order shall commence on July 1, 2025, at the designated Japan Tokyo facilities. The Pharmacist shall report to the Tokyo Central Medical Hub no later than 08:00 JST on the first day of service.

4.6 Cancellation: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Pharmacist shall complete all pending patient consultations and ensure a smooth transition of pharmaceutical records to a successor Pharmacist approved by the Buyer.

4.7 Confidentiality: All patient data, prescription records, and proprietary pharmaceutical information handled by the Pharmacist under this Purchase Order in Japan Tokyo are subject to the Act on the Protection of Personal Information (APPI) of Japan. Breach of confidentiality shall result in immediate termination and legal action.

This Purchase Order is authorized and executed by the undersigned representatives of both parties.
