Important Note: This Purchase Order is issued in accordance with the commercial regulations of the State of Kuwait. The Pharmacist engaged under this Purchase Order must comply with all directives issued by the Kuwait Ministry of Health, the Kuwait Pharmaceutical Society, and the Public Authority for Manpower (PAM). All professional activities shall be conducted within the licensed premises in Kuwait Kuwait City. The supplier warrants that the Pharmacist possesses the requisite qualifications, experience, and ethical standing to practice pharmacy in Kuwait. TERMS AND CONDITIONS- Scope of Engagement: This Purchase Order authorizes the Supplier to recruit, license, and deploy one (1) qualified Pharmacist to the Buyer's pharmacy facility located in Kuwait Kuwait City. The Pharmacist shall report to the Buyer's Chief Pharmacist and shall perform all duties consistent with the scope of practice defined by the Kuwait Ministry of Health.
- Licensing and Compliance: The Supplier is solely responsible for ensuring that the Pharmacist obtains all necessary professional licenses, work permits, and residency visas prior to commencing duties in Kuwait Kuwait City. Failure to secure proper licensure shall render this Purchase Order voidable at the Buyer's discretion without penalty.
- Delivery and Commencement: All services and goods specified in this Purchase Order shall be delivered and made available no later than 01 July 2025. The Pharmacist must be physically present at the Kuwait Kuwait City pharmacy premises and fully operational by the stated date.
- Payment: Payment of the full amount stated in this Purchase Order shall be made via bank transfer to the Supplier's designated account within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall accrue interest at the rate of 2% per month as permitted under Kuwaiti commercial law.
- Warranty and Replacement: Should the Pharmacist fail to meet the professional standards outlined in the Kuwaiti Pharmacy Practice Act, or should the Pharmacist resign or be terminated within the first ninety (90) days, the Supplier shall, at no additional cost, provide a replacement Pharmacist of equivalent qualifications within thirty (30) days.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the Pharmacist's personal and professional records, and any proprietary information exchanged during the course of this engagement in Kuwait Kuwait City.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Kuwait. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the competent courts in Kuwait Kuwait City.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to government-mandated closures, epidemics, or natural disasters affecting Kuwait Kuwait City.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
