This Purchase Order is issued by MediCare Health Group Sdn. The Pharmacist shall be responsible for the safe dispensing of medications, patient counselling, medication therapy management, inventory oversight, and compliance with all regulations set forth by the Pharmacy and Poisons Act 1911 and the guidelines of the Pharmacy Council of Malaysia.

The Pharmacist engaged under this Purchase Order must hold a valid registration with the Pharmacy Council of Malaysia and possess a minimum of five (5) years of post-qualification experience in community or hospital pharmacy practice within Malaysia Kuala Lumpur or other recognised jurisdictions. The Pharmacist shall report directly to the Chief Medical Officer and shall adhere to all standard operating procedures established by the facility.

4. TERMS AND CONDITIONS
  1. This Purchase Order constitutes a binding agreement between the Buyer and the Pharmacist service provider for the duration of twelve (12) months commencing 1 July 2025, subject to mutual renewal.
  2. The Pharmacist shall maintain a valid registration and good standing with the Pharmacy Council of Malaysia throughout the engagement period. Any lapse in licensure shall result in immediate suspension of services under this Purchase Order.
  3. All services rendered by the Pharmacist shall comply with the standards set by the Ministry of Health Malaysia, the Pharmacy and Poisons Act 1911, and all applicable regulations governing pharmaceutical practice in Malaysia Kuala Lumpur.
  4. Payment shall be made within thirty (30) calendar days from the date of invoice submission. Late payments shall attract a penalty of 2% per month as stipulated under Malaysian commercial law.
  5. The Pharmacist shall maintain professional indemnity insurance with a minimum coverage of MYR 1,000,000 per claim, valid for the entire term of this Purchase Order.
  6. Confidentiality: The Pharmacist shall treat all patient records, proprietary formulary data, and operational information of the Malaysia Kuala Lumpur facility as strictly confidential in accordance with the Personal Data Protection Act 2010 (PDPA) of Malaysia.
  7. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, all outstanding invoices for services rendered up to the termination date shall be settled in full.
  8. All disputes arising from this Purchase Order shall be resolved through mediation in Malaysia Kuala Lumpur in accordance with the rules of the Asian International Arbitration Centre (AIAC) before any litigation is commenced.
  9. The Pharmacist shall be provided with access to the facility's electronic prescribing system, pharmacy management software, and all necessary resources to perform duties effectively at the Malaysia Kuala Lumpur premises.
  10. This Purchase Order is governed by and shall be construed in accordance with the laws of Malaysia. The courts of Malaysia Kuala Lumpur shall have exclusive jurisdiction over any matters arising hereunder.
5. DELIVERY AND PERFORMANCE SCHEDULE

The Pharmacist shall commence duties on 1 July 2025 at the MediCare Health Group facility, Level 12, Menara Commerce, Jalan Sultan Ismail, 50250 Malaysia Kuala Lumpur. Standard working hours shall be Monday to Friday, 8:00 AM to 5:00 PM, with Saturday shifts on a rotational basis. The Pharmacist shall submit a monthly performance report to the Chief Medical Officer by the 5th of each subsequent month, detailing dispensing volumes, patient counselling sessions conducted, adverse drug reaction reports filed, and any compliance observations relevant to the Malaysia Kuala Lumpur operation.

6. AUTHORITY AND ACCEPTANCE

This Purchase Order is issued under the authority of the Procurement Committee of MediCare Health Group Sdn. Bhd. and has been reviewed and approved in accordance with the company's internal procurement policy for professional services in Malaysia Kuala Lumpur.
