4.1 Delivery: All items listed in this Purchase Order shall be delivered to the Pharmacist's pharmacy premises located in Casablanca, Morocco, no later than the required delivery date. The supplier is responsible for all transportation costs within the Grand Casablanca region. Cold-chain items (Item 03) must be transported in validated temperature-controlled containers and delivered directly to the pharmacy's ANP-compliant refrigerator.
4.2 Quality & Compliance: All pharmaceutical products must comply with the regulations set forth by the Moroccan Agency of Medicines and Health Products (ANP) and the Ministry of Health of Morocco. The Pharmacist reserves the right to inspect all goods upon receipt and reject any items that do not meet the specified batch numbers, expiration dates (minimum 18 months remaining), or packaging integrity standards.
4.3 Payment: Payment of the full Purchase Order amount of 97,500.00 MAD shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days of the date of the valid commercial invoice, in accordance with Moroccan commercial law. Late payments shall incur a penalty of 1.5% per month as stipulated in the Moroccan Commercial Code.
4.4 Warranties: The supplier warrants that all equipment (Items 04, 05, 06) is new, free from defects, and carries a minimum manufacturer warranty of twelve (12) months. The Pharmacist in Casablanca shall be entitled to on-site repair or replacement within five (5) business days of reporting any defect.
4.5 Cancellation & Modification: This Purchase Order may be modified or cancelled in writing by either party with a minimum of seven (7) business days' notice. Cancellation after the supplier has confirmed production or procurement of specific items may incur a restocking fee of up to 15% of the affected line items.
4.6 Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved amicably. Failing amicable resolution, the matter shall be submitted to the competent commercial court of Casablanca, Morocco. The laws of the Kingdom of Morocco shall govern this Purchase Order in its entirety.
4.7 Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms, pricing, and patient-related data handled in connection with this Purchase Order, in compliance with Moroccan data protection law (Law 09-08).
Attention: As the licensed Pharmacist operating in Casablanca, Morocco, you are required to verify that all incoming pharmaceutical products bear valid ANP registration numbers and that the supplier holds a current distribution license. The Pharmacist must record all received batches in the pharmacy's official register (Registre de Pharmacie) within 48 hours of delivery.
