This Purchase Order is issued by the Lagos Metropolitan Health Services Consortium Ltd. to procure the professional services of a licensed Pharmacist for a period of twelve (12) months, commencing 01 August 2025 and expiring on 31 July 2026. The Pharmacist shall provide comprehensive pharmaceutical care services at the Consortium's primary healthcare facilities located across Lagos State, Nigeria. The scope of services includes but is not limited to the following:

- Validity: This Purchase Order is valid for acceptance within fourteen (14) calendar days from the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
- Regulatory Compliance: The Pharmacist shall maintain a valid Practicing Certificate issued by the Pharmacists Council of Nigeria throughout the entire contract period. Any lapse in registration shall constitute grounds for immediate termination of this Purchase Order.
- Payment Schedule: Payment shall be made in quarterly instalments of NGN 7,949,625.00 (inclusive of VAT), due within thirty (30) days of the end of each quarter, subject to satisfactory performance review by the Consortium's Quality Assurance Committee.
- Performance Standards: The Pharmacist shall adhere to all applicable laws and regulations of Nigeria Lagos, including but not limited to the National Health Act 2014, NAFDAC regulations, and the Code of Ethics of the Pharmacists Council of Nigeria.
- Confidentiality: The Pharmacist shall maintain strict confidentiality regarding all patient records, proprietary formulary data, and internal operational information of the Consortium in accordance with the Nigeria Data Protection Act 2023.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. The Consortium reserves the right to terminate immediately in the event of gross professional misconduct, fraud, or regulatory sanction against the Pharmacist.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising shall be resolved through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act, Cap A18, LFN 2004.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to epidemics, government-imposed lockdowns in Lagos, or acts of God.
- Insurance: The Pharmacist shall maintain professional indemnity insurance with a minimum coverage of NGN 50,000,000.00 for the duration of this Purchase Order and shall provide a certificate of insurance upon request.
- Amendments: No amendment to this Purchase Order shall be valid unless made in writing and signed by both parties. All amendments must be consistent with the regulatory framework governing pharmacy practice in Nigeria Lagos.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Pharmacist professional services in Nigeria Lagos.
