The Pharmacist shall be responsible for the dispensing of prescription and over-the-counter medications, the maintenance of pharmaceutical inventory, the provision of patient counselling, the compliance with all federal and regional pharmaceutical regulations of the Russian Federation, and the supervision of junior pharmacy staff across all designated pharmacy outlets in the Saint Petersburg metropolitan area.

1. Contract Duration: This Purchase Order shall be effective for a period of twelve (12) months commencing 1 July 2025 and expiring on 30 June 2026, unless terminated earlier in accordance with Clause 4.7.
2. Payment Terms: Payment shall be made monthly within fifteen (15) calendar days of the Pharmacist's submission of a valid invoice and timesheet to the Saint Petersburg Regional Healthcare Procurement Authority. Payment shall be processed via bank transfer to the account designated by the Pharmacist in writing.
3. Professional Licensure: The Pharmacist shall maintain an active and valid pharmaceutical licence issued by the competent authority of the Russian Federation throughout the entire term of this Purchase Order. Any lapse in licensure shall constitute grounds for immediate termination.
4. Working Hours: Standard working hours shall be Monday through Friday, 08:00 to 17:00, with a one-hour lunch break. Additional on-call shifts as specified in Line Item 05 shall be compensated separately.
5. Confidentiality: The Pharmacist shall adhere to all provisions of the Russian Federal Law No. 152-FZ "On Personal Data" and shall maintain strict confidentiality regarding all patient records, prescription data, and proprietary pharmaceutical information encountered in the course of duties in Russia Saint Petersburg.
6. Compliance: All services rendered under this Purchase Order shall comply with the current legislation of the Russian Federation, including but not limited to Federal Law No. 61-FZ, Government Decree No. 1550, and all applicable Saint Petersburg municipal regulations governing pharmaceutical practice.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. The Buyer may terminate immediately in the event of material breach, loss of professional licence, or gross negligence by the Pharmacist.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Russian Federation. Any disputes shall be resolved by the Arbitration Court of Saint Petersburg and Novgorod Oblast.
9. Force Majeure: Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in Russia Saint Petersburg.

By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of Pharmacist services in Russia Saint Petersburg. The terms set forth herein supersede all prior negotiations, correspondence, and understandings between the parties regarding the subject matter of this document.
