The engagement covers the full scope of pharmaceutical duties as mandated by the Saudi Food and Drug Authority (SFDA) and the Ministry of Health of the Kingdom of Saudi Arabia.

1. This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, including all applicable regulations issued by the SFDA, the Ministry of Health, and the Ministry of Commerce regarding the practice of pharmacy in Saudi Arabia Jeddah.
2. The Pharmacist engaged under this Purchase Order must hold a valid, active professional licence issued by the SFDA and must maintain all required continuing professional development (CPD) credits throughout the contract period.
3. All services shall be performed at the Buyer's facility located at King Fahd Road, Al-Salam District, Jeddah, Saudi Arabia, unless otherwise agreed in writing by both parties.
4. Payment shall be made in monthly instalments via bank transfer to the account designated by the Pharmacist, within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 1.5% per month.
5. The Pharmacist shall comply with all data protection and patient confidentiality requirements under Saudi Arabian law, including the Personal Data Protection Law (PDPL) effective 2023.
6. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination.
7. The Pharmacist shall maintain professional indemnity insurance with a minimum coverage of SAR 500,000 for the duration of this engagement in Saudi Arabia Jeddah.
8. All disputes arising from this Purchase Order shall be resolved through the competent courts of Jeddah, Kingdom of Saudi Arabia, or through arbitration under the Saudi Centre for Commercial Arbitration (SCCA) if both parties agree.
9. The Pharmacist shall not subcontract or delegate any portion of the professional services outlined in this Purchase Order without prior written consent from the Buyer.
10. This Purchase Order becomes effective upon signature by both parties and remains valid for the twelve (12) month period commencing 1 July 2025.

The Pharmacist shall commence all duties no later than 1 July 2025 at the designated facility in Saudi Arabia Jeddah. A written confirmation of commencement shall be issued by the Buyer's Operations Manager within five (5) business days of the start date. Any delay in commencement exceeding ten (10) business days shall entitle the Buyer to cancel this Purchase Order without penalty.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Pharmacist in Saudi Arabia Jeddah.
