TERMS AND CONDITIONS
  1. Scope of Engagement: The Pharmacist engaged under this Purchase Order shall perform all duties consistent with the scope of practice defined by the Saudi Food and Drug Authority (SFDA) and the Ministry of Health. The Pharmacist shall be responsible for prescription review, drug interaction screening, patient medication therapy management, and adherence to all pharmaceutical regulations applicable in Saudi Arabia Riyadh.
  2. Qualifications: The Pharmacist must hold a valid Bachelor of Pharmacy (B.Pharm) or Doctor of Pharmacy (Pharm.D) degree from an accredited institution, a valid SFDA professional license, and a minimum of three (3) years of post-licensure clinical experience. All credentials shall be verified prior to commencement of services.
  3. Payment Terms: Payment shall be made in monthly installments of SAR 20,723.96 (inclusive of VAT) via bank transfer to the supplier's designated account. The first payment shall be due within fifteen (15) business days of the effective date of this Purchase Order. Late payments shall incur a penalty of 1.5% per month as per Saudi commercial law.
  4. Delivery and Commencement: The Pharmacist shall report for duty no later than 30 August 2025 at the Al-Nour Healthcare Group clinic, King Fahd Road, Riyadh, Saudi Arabia. The supplier shall ensure all visa, Iqama, and work permit documentation is completed prior to the commencement date.
  5. Compliance: Both parties acknowledge that this Purchase Order is governed by the laws of the Kingdom of Saudi Arabia. All services rendered by the Pharmacist shall comply with the Saudi Labor Law, SFDA regulations, and the data protection requirements of the Saudi Data and AI Authority (SDAIA).
  6. Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination, the supplier shall facilitate the Pharmacist's transition, including the return of all company-issued equipment and the completion of any outstanding patient records.
  7. Confidentiality: The Pharmacist shall maintain strict confidentiality regarding all patient health information in accordance with Saudi Arabia Riyadh healthcare data privacy standards. Any breach of patient confidentiality shall result in immediate termination and potential legal action.
  8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be referred to the competent commercial court in Riyadh, Kingdom of Saudi Arabia.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to government-mandated closures, natural disasters, or public health emergencies as declared by the Saudi government.
AUTHORIZATION AND SIGNATURES

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations outlined in this Purchase Order for the procurement of Pharmacist services in Saudi Arabia Riyadh. This document constitutes a binding agreement effective from the date of the last signature.
