TERMS AND CONDITIONS
  1. Regulatory Compliance: All pharmaceutical products listed in this Purchase Order shall comply with the regulations of the Agence Nationale de Sécurité du Médicament et des Produits de Santé (ANSM) of Sénégal. The Pharmacist buyer, Dr. Awa Ndiaye, holds a valid license issued by the Ordre des Pharmaciens du Sénégal and is authorized to dispense and store the aforementioned products at the designated pharmacy in Dakar.
  2. Quality Assurance: The supplier warrants that all medicinal products are manufactured under Good Manufacturing Practice (GMP) standards, are within their expiry date (minimum 18 months remaining at delivery), and are accompanied by certificates of analysis, batch numbers, and import permits valid for the Republic of Sénégal.
  3. Cold-Chain Integrity: Temperature-sensitive items (Ref 04 — Insulin Glargine) must be transported in validated cold-chain packaging maintaining 2–8 °C throughout transit from the supplier’s warehouse in Guédiewar to the pharmacy premises in Plateau, Dakar. A continuous temperature data logger reading shall be provided upon delivery for the Pharmacist to verify and file.
  4. Delivery Schedule: Full delivery of all line items shall be completed no later than 10 business days from the date of this Purchase Order. Partial deliveries are not permitted unless expressly agreed in writing by the Pharmacist buyer. Delivery shall be made to the pharmacy address in Dakar during standard business hours (08:00–16:00 GMT).
  5. Payment: Payment of the Grand Total of 55,462,100 XOF shall be made within thirty (30) calendar days of receipt of a valid tax invoice (facture) issued by the supplier, via bank transfer to the supplier’s account at Banque Africaine de Commerce International (BACI), Dakar. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under the Sénégal Commercial Code.
  6. Inspection and Acceptance: The Pharmacist shall inspect all delivered goods within five (5) business days of receipt. Any discrepancies in quantity, packaging integrity, batch numbers, or expiry dates must be reported in writing to the supplier within the same period. Non-conforming items shall be replaced at the supplier’s sole cost.
  7. Warranty and Returns: Equipment items (Refs 06, 07, 08, 09) carry a minimum 12-month manufacturer warranty. Defective pharmaceutical products discovered after acceptance but within the first 30 days of storage may be returned for a full credit, subject to the Pharmacist providing a written quality complaint report.
  8. Intellectual Property and Software: The pharmacy inventory management software license (Ref 10) is granted for single-site use at the pharmacy in Dakar. The license includes one year of updates, French-language user documentation, and remote technical support. Renewal terms shall be negotiated separately prior to expiry.
  9. Governing Law and Dispute Resolution: This Purchase Order is governed by the laws of the Republic of Sénégal, including the Code de Commerce and the specific pharmaceutical regulations issued by the Ministry of Health. Any dispute arising from this Purchase Order shall first be subject to amicable negotiation between the Pharmacist and the supplier. Failing resolution within thirty (30) days, the matter shall be referred to the competent commercial court of Dakar.
  10. Confidentiality: Both parties agree to maintain the confidentiality of pricing, quantities, and business terms contained in this Purchase Order. No information shall be disclosed to third parties without prior written consent, except as required by Sénégal law or regulatory authorities.
  11. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, port closures at the Port of Dakar, or public health emergencies declared by the Sénégal government.
