This Purchase Order is issued by Meridian Healthcare Group Pte. Ltd. (hereinafter referred to as the "Purchaser") for the professional engagement of a Pharmacist to provide comprehensive pharmaceutical advisory, medication management, and clinical pharmacy services within the jurisdiction of Singapore Singapore. The Pharmacist shall be a duly registered professional holding a valid Practising Certificate issued by the Singapore Pharmacy Council, and shall perform all duties in strict compliance with the Pharmacy Act (Cap. 234) and all applicable regulations governing pharmaceutical practice in Singapore Singapore.
The scope of services under this Purchase Order includes, but is not limited to, the following:

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Singapore Singapore. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Singapore Singapore.
- Pharmacist Qualifications: The Pharmacist engaged under this Purchase Order must hold a Bachelor of Pharmacy degree from a recognised institution, possess a valid Practising Certificate from the Singapore Pharmacy Council, and maintain all required professional indemnity insurance throughout the engagement period in Singapore Singapore.
- Payment Terms: Payment shall be made on a monthly basis within thirty (30) days from the date of invoice submission. All payments shall be made in Singapore Dollars (SGD) via bank transfer to the account designated by the Pharmacist. Late payments shall attract interest at the rate of 2% per month as stipulated under the Singapore Singapore Late Payment of Interest on Debts Act.
- Delivery and Commencement: The Pharmacist shall commence all services no later than 1 August 2025. Failure to commence within the stipulated period shall entitle the Purchaser to cancel this Purchase Order without penalty.
- Regulatory Compliance: The Pharmacist shall comply with all regulations issued by the Health Sciences Authority (HSA) of Singapore Singapore, the Pharmacy Act, and any guidelines pertaining to the dispensing, storage, and management of pharmaceutical products within Singapore Singapore.
- Confidentiality: The Pharmacist shall maintain strict confidentiality regarding all patient records, proprietary formulary data, and commercial information of the Purchaser in accordance with the Personal Data Protection Act (PDPA) of Singapore Singapore.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of material breach by the Pharmacist, the Purchaser may terminate immediately upon written notice. Termination shall not affect any accrued rights or obligations under this Purchase Order.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of God, government regulations in Singapore Singapore, or public health emergencies.
- Amendments: No amendment or variation to this Purchase Order shall be valid unless made in writing and signed by both parties. All amendments must be consistent with the regulatory framework of Singapore Singapore.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Pharmacist in Singapore Singapore. This document constitutes a binding agreement upon execution by both parties.
