7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of gross professional misconduct, regulatory violation, or failure to maintain the required pharmacist licence in South Korea, the issuing party may terminate this Purchase Order immediately without notice.
8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Seoul, South Korea, in accordance with the Commercial Arbitration Act of the Republic of Korea. The competent court of jurisdiction shall be the Seoul Central District Court.
9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Seoul, or public health emergencies declared by the South Korean government.
