- All pharmaceutical products listed in this Purchase Order must comply with the regulations established by the Agencia Española de Medicamentos y Productos Sanitarios (AEMPS) and the current Spanish Pharmaceutical Law (Ley 29/2006, de 26 de julio, de Garantías y Uso Racional de los Medicamentos y Productos Sanitarios).
- The Pharmacist in charge, Dra. Elena Martínez García, holds a valid licence issued by the Ilustre Colegio Oficial de Farmacéuticos de Madrid (ICOFM) and is the sole authorised professional to receive, inspect, and approve all pharmaceutical deliveries at the premises located in Madrid, Spain.
- Cold-chain products (Item 03) must be delivered in validated insulated transport containers maintaining a temperature between 2 °C and 8 °C. A temperature log must accompany each shipment. The Pharmacist will verify and document the cold-chain integrity upon receipt before authorising entry into the pharmacy stock.
- Delivery shall be made to the pharmacy address in Madrid, Spain, between 08:00 and 14:00 CET on or before the Required Delivery Date. The supplier must provide a minimum of 48 hours' advance notice with the delivery reference number.
- Payment shall be made via direct bank transfer (SEPA) to the supplier's designated account within 30 calendar days of the date of the valid invoice. Late payments shall accrue interest at the rate established by the Spanish Law on Late Payment in Commercial Transactions (Ley 3/2004).
- All equipment and software items (Items 04, 06, 07) must include a valid warranty of no less than 24 months and a conformity certificate compliant with EU Directive 2006/42/EC where applicable. The Pharmacist will conduct a functional acceptance test within 5 business days of delivery.
- The supplier warrants that all products are of current batch, within their full shelf life (minimum 12 months remaining at the point of delivery), and have not been subject to any AEMPS recall or safety alert in force in Spain at the time of shipment.
- This Purchase Order is governed by the laws of the Kingdom of Spain. Any disputes arising from this order shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain, in accordance with Article 51 of the Spanish Civil Procedure Law (Ley de Enjuiciamiento Civil).
- The Pharmacist reserves the right to reject any delivery that does not conform to the specifications, quantities, or regulatory requirements stated herein. Rejected items shall be returned at the supplier's expense within 10 business days.
- This Purchase Order constitutes the entire agreement between the parties regarding the procurement of the items listed and supersedes all prior negotiations, representations, or agreements, whether written or oral, relating to the subject matter of this order.
