- Scope of this Purchase Order: This Purchase Order is issued exclusively for the procurement of pharmaceutical products, professional equipment, and consumables required by the Pharmacist, Dr. María Elena Soler Ferrandis, for the operation of her licensed community pharmacy in Spain Valencia. All items listed herein are intended for professional pharmaceutical use and must meet the quality standards established by the European Pharmacopoeia and Spanish national regulations.
- Regulatory Compliance: The Supplier warrants that all pharmaceutical products delivered under this Purchase Order are manufactured, stored, and transported in full compliance with the Good Distribution Practice (GDP) guidelines of the European Union and the specific requirements of the Conselleria de Sanitat Universal i Salut Pública in the Comunitat Valenciana. The Pharmacist reserves the right to reject any lot that does not carry valid AEMPS authorisation or that fails to meet the cold-chain requirements applicable in the climate of Spain Valencia.
- Delivery: All physical goods shall be delivered to the pharmacy premises at Carrer de Colón, 142, 46004 Valencia, Spain, no later than 28 June 2025. The Supplier shall provide a minimum of 48 hours' advance notice of the delivery window. The Pharmacist or her designated staff member must be present at the time of delivery to inspect the goods and sign the delivery receipt. Delivery within the municipality of Valencia, Spain, is included in the quoted price; any delivery to a different province within Spain shall be subject to a separate surcharge agreed in writing.
- Payment: Payment of the full amount of this Purchase Order shall be made by direct bank transfer (SEPA) to the Supplier's designated account within thirty (30) calendar days from the date of the Supplier's invoice, provided that all goods have been received and accepted by the Pharmacist. Late payments shall accrue interest at the rate established by the Spanish Ley 3/2004 on late payment in commercial transactions.
- Warranty and Returns: The Supplier guarantees a minimum twelve-month warranty on all equipment items (References 03 and 04). Pharmaceutical products must be delivered with a minimum remaining shelf life of eighteen (18) months. The Pharmacist may return any product that is damaged, expired, or non-conforming within fourteen (14) days of receipt, and the Supplier shall issue a credit note or replacement at no additional cost.
- Intellectual Property and Software: The electronic prescription management software licence (Reference 07) is granted to the Pharmacist for use solely at the pharmacy location in Spain Valencia. The licence is non-transferable and expires on the anniversary of the activation date. The Supplier shall provide remote technical support during standard business hours (Monday to Friday, 09:00–18:00 CET) throughout the licence period.
- Confidentiality: Both parties agree to treat all commercial terms, pricing, and patient-related data associated with this Purchase Order as strictly confidential. The Pharmacist, in her capacity as a healthcare professional registered in Spain Valencia, is bound by the professional secrecy obligations set out in the Ley 41/2002 on patient autonomy and the Ley Orgánica 3/2018 on data protection (GDPR). The Supplier shall not disclose any information pertaining to the Pharmacist's orders or the pharmacy's operations to third parties without prior written consent.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any dispute arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Courts and Tribunals of Valencia, Spain, unless mandatory EU regulations provide otherwise.
- Force Majeure: Neither party shall be liable for failure to perform its obligations under this Purchase Order if such failure is caused by events beyond its reasonable control, including but not limited to natural disasters, pandemics, government regulatory actions by the AEMPS or the Generalitat Valenciana, or transport disruptions affecting the Valencia, Spain region.
