Any substitution of the Pharmacist personnel requires prior written approval from the Buyer's Procurement Director.

Payment for this Purchase Order shall be made in Swiss Francs (CHF) via bank transfer to the Supplier's designated account. Invoices are due within thirty (30) calendar days from the date of invoice receipt. The Buyer reserves the right to withhold payment for any Pharmacist service line item that has not been satisfactorily completed or that does not meet the quality standards defined in the Swiss Federal Act on Therapeutic Products (ThG). Late payments shall accrue interest at the rate of 5% per annum in accordance with Swiss Code of Obligations (OR) Article 104. The total value of this Purchase Order is CHF 250,725.60, inclusive of VAT applicable in Switzerland Zurich.

1. This Purchase Order is governed by the laws of the Swiss Confederation and the cantonal regulations of Switzerland Zurich. Any disputes arising from this Purchase Order shall be resolved by the competent courts of the city of Zürich.
2. The Pharmacist services rendered under this Purchase Order must strictly adhere to the Swiss Federal Act on Human Medicinal Products (HMG) and all applicable Swissmedic guidelines in force within Switzerland Zurich.
3. The Supplier warrants that all Pharmacist personnel engaged under this Purchase Order maintain current professional indemnity insurance with a minimum coverage of CHF 5,000,000 per claim, as required for pharmacy operations in Switzerland Zurich.
4. Confidentiality: All patient data, prescription records, and proprietary formulary information handled by the Pharmacist under this Purchase Order shall be treated as strictly confidential in compliance with the Swiss Federal Act on Data Protection (FADP/DSG).
5. The Buyer may terminate this Purchase Order with fourteen (14) days' written notice in the event of material breach by the Supplier, including but not limited to the Pharmacist failing to maintain required licensure or committing a gross professional negligence.
6. All intellectual property, including custom compounding protocols developed by the Pharmacist during the term of this Purchase Order, shall remain the property of the Buyer unless otherwise agreed in writing.
7. Force majeure events, including but not limited to natural disasters, pandemics, or government-mandated closures affecting pharmacy operations in Switzerland Zurich, shall suspend obligations under this Purchase Order for the duration of the event.
8. This Purchase Order constitutes the entire agreement between the parties regarding the Pharmacist services described herein and supersedes all prior negotiations, representations, or agreements.

By signing below, both parties acknowledge and accept all terms, conditions, and line items specified in this Purchase Order for Pharmacist services to be delivered in Switzerland Zurich. This Purchase Order becomes effective upon execution by both authorised signatories.
