This Purchase Order is issued by Coastal Health & Wellness Centre Ltd. for the procurement of professional Pharmacist services to be rendered in Tanzania Dar es Salaam. - Scope of Engagement: The Pharmacist shall perform all duties in strict compliance with the Pharmacy and Poisons Act, Cap. 360 of the Laws of Tanzania, and all regulations issued by the Tanzania Pharmacy and Poisons Board. The Pharmacist must maintain a valid practising licence throughout the duration of this Purchase Order.
- Place of Performance: All services under this Purchase Order shall be rendered at the Coastal Health & Wellness Centre premises located in Kariakoo, Dar es Salaam, Tanzania, or at such other locations within Dar es Salaam as mutually agreed in writing by both parties.
- Duration: This Purchase Order is valid for a period of twelve (12) months from the date of acceptance, commencing on 1 July 2025 and expiring on 30 June 2026, unless renewed in writing by both parties.
- Payment Schedule: Payment shall be made in monthly instalments of TZS 6,250,067 (inclusive of VAT) within thirty (30) days of receipt of a valid tax invoice from the Pharmacist. Payment shall be made via bank transfer to the account designated by the Pharmacist in Tanzania Dar es Salaam.
- Confidentiality: The Pharmacist shall maintain strict confidentiality regarding all patient records, proprietary formulary data, and operational information of Coastal Health & Wellness Centre Ltd. in accordance with the Tanzania Data Protection Act, 2022.
- Insurance and Indemnity: The Pharmacist shall maintain professional indemnity insurance with a minimum cover of TZS 50,000,000 for the duration of this Purchase Order and shall provide a certificate of insurance upon request.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of gross professional misconduct, unlicensed practice, or repeated failure to meet service standards, the Purchasing Entity may terminate immediately without notice.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Republic of Tanzania. Any disputes arising herefrom shall be resolved through arbitration in Dar es Salaam in accordance with the Arbitration Act, Cap. 30 of the Laws of Tanzania.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns, or epidemics affecting Tanzania Dar es Salaam.
- Compliance: The Pharmacist warrants that all pharmaceutical products recommended, dispensed, or managed under this Purchase Order are sourced from NMDA-registered suppliers and comply with all applicable Tanzanian regulatory requirements.
By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications set forth in this Purchase Order for Pharmacist professional services in Tanzania Dar es Salaam. This document constitutes a binding agreement upon execution by both authorized signatories.
