1. SCOPE OF PURCHASE ORDERThis Purchase Order is issued by Ege Anadolu Pharmacy Group A.S. (hereinafter referred to as the "Buyer") to engage the services of a qualified Pharmacist, Dr. Elif Kaya, for the operation, supervision, and professional management of the Buyer's flagship pharmacy facility located in the Çankaya district of Ankara, Turkey. This Purchase Order governs the professional engagement of the Pharmacist, the procurement of associated pharmaceutical equipment, and the supply of essential operational materials required for the pharmacy to function in full compliance with the regulations of the Turkish Ministry of Health (T.C. Sağlık Bakanlığı) and the Ankara Provincial Directorate of Health (Ankara İl Sağlık Müdürlüğü).
The Pharmacist engaged under this Purchase Order shall hold a valid license issued by the Union of Turkish Pharmacists (Türkiye Eczacılar Birliği) and shall be responsible for all professional pharmaceutical activities conducted at the Ankara facility, including but not limited to prescription dispensing, patient counseling, medication therapy management, and regulatory compliance reporting.

- Professional Qualification: The Pharmacist engaged under this Purchase Order must maintain an active license with the Türkiye Eczacılar Birliği (Union of Turkish Pharmacists) throughout the entire contract period. Any lapse in licensure shall constitute grounds for immediate termination of this Purchase Order.
- Regulatory Compliance (Ankara, Turkey): All pharmaceutical activities conducted by the Pharmacist at the Ankara facility shall strictly adhere to the Turkish Pharmacopoeia (T.C. Farmakopesi), the Turkish Medicines and Medical Devices Agency (TİTCK) regulations, and the specific operational guidelines issued by the Ankara Provincial Directorate of Health.
- Payment Terms: Payment for the Pharmacist's professional services shall be made on a monthly basis within 15 business days of invoice submission. Equipment and inventory payments shall be made 50% upon order confirmation and 50% upon delivery and acceptance at the Ankara, Turkey premises.
- Delivery and Installation: All physical goods listed in this Purchase Order shall be delivered to the Buyer's facility at Kızılay Mah. Atatürk Bulvarı No. 214, Çankaya, Ankara, Turkey. The Pharmacist shall oversee the installation and initial calibration of all pharmaceutical equipment to ensure compliance with storage and handling standards.
- Warranty and Support: All equipment purchased under this Purchase Order carries a minimum 24-month manufacturer warranty. The Pharmacist shall be responsible for documenting all equipment maintenance and reporting any malfunctions to the Buyer within 48 hours.
- Confidentiality: The Pharmacist shall maintain strict confidentiality regarding all patient data, prescription records, and proprietary operational information in accordance with the Turkish Personal Data Protection Law (KVKK - 6698) and the data protection regulations applicable in Ankara, Turkey.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Pharmacist shall ensure a smooth transition of all pharmaceutical records and patient files to a successor Pharmacist approved by the Ankara Provincial Health Directorate.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts in Ankara, Turkey.
