- This Purchase Order is issued by Meridian Health Supplies Ltd. for the procurement of pharmaceutical equipment, software, training, and consumables to be supplied to Dr. Eleanor Whitfield, Pharmacist, at Whitfield Community Pharmacy, Birmingham, United Kingdom.
- All goods must comply with the Medicines and Healthcare products Regulatory Agency (MHRA) standards and the General Pharmaceutical Council (GPhC) professional guidelines applicable in the United Kingdom.
- Delivery of all items listed in this Purchase Order must be completed no later than 26 June 2025 at the Birmingham address specified above. Late delivery will incur a penalty of 1.5% of the affected line item value per calendar day of delay.
- The Pharmacist, Dr. Whitfield, or her designated representative must inspect all delivered goods within five (5) working days of receipt. Any defects, shortages, or non-conformities must be reported in writing to the supplier within this period.
- Payment of £43,712.00 (forty-three thousand seven hundred and twelve pounds sterling) shall be made by BACS transfer to the supplier's designated account within thirty (30) calendar days of the date of a valid tax invoice, in accordance with United Kingdom commercial practice.
- All equipment requiring installation (including the automated dispensing machine and cold chain refrigerators) must be installed, calibrated, and certified operational by qualified engineers at the Birmingham premises prior to the final acceptance sign-off by the Pharmacist.
- The CPD training package must be scheduled and delivered at a location within Birmingham, United Kingdom, or via a secure virtual platform approved by the GPhC, at a date mutually agreed between the Pharmacist and the training provider.
- This Purchase Order is governed by the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
- The supplier warrants that all pharmaceutical equipment and software supplied under this Purchase Order shall be fit for purpose in a registered pharmacy environment in Birmingham and shall carry a minimum manufacturer's warranty of twelve (12) months from the date of installation or delivery, whichever is later.
- Neither party shall be liable for failure to perform obligations under this Purchase Order to the extent that such failure is caused by events beyond reasonable control, including but not limited to acts of God, industrial action, or government-imposed restrictions within the United Kingdom.
