Terms and Conditions of This Purchase Order
  • Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales, applicable within the United Kingdom. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
  • Pharmacist Registration & Compliance: The Pharmacist (Dr. Eleanor Whitfield) warrants that she holds a current, valid registration with the General Pharmaceutical Council (GPhC) and that all professional services rendered under this Purchase Order comply with the Human Medicines Regulations 2012 (SI 2012/1916) and all applicable UK pharmaceutical legislation.
  • Quality Assurance: All pharmaceutical products supplied must meet the standards set by the UK Medicines and Healthcare products Regulatory Agency (MHRA). The Pharmacist shall provide Certificates of Analysis (CoA) and batch release documentation for every consignment delivered to the London premises.
  • Delivery & Acceptance: Goods shall be delivered DDP (Delivered Duty Paid) to the Purchasing Entity's London warehouse at 42 Strand, Covent Garden, London, WC2R 0LS, United Kingdom. Acceptance shall be confirmed in writing within five (5) working days of delivery. Rejection of non-conforming goods must be notified within the same period.
  • Payment: Payment of the total Purchase Order amount of £96,210.00 (ninety-six thousand two hundred and ten Pounds Sterling) shall be made via BACS transfer to the Pharmacist's nominated bank account within thirty (30) calendar days of the date of this Purchase Order, subject to satisfactory delivery and acceptance of all line items.
  • Confidentiality & Data Protection: Both parties agree to comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Patient and prescription data handled by the Pharmacist in connection with this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent.
  • Insurance & Liability: The Pharmacist shall maintain professional indemnity insurance with a minimum cover of £5,000,000 per claim throughout the duration of this Purchase Order. The Purchasing Entity shall maintain public liability insurance for its London premises.
  • Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to acts of God, government sanctions, or supply chain disruptions affecting the United Kingdom London region.
  • Amendments: No amendment, variation, or cancellation of this Purchase Order shall be valid unless made in writing and signed by authorised representatives of both the Purchasing Entity and the Pharmacist.
  • Anti-Bribery & Corruption: Both parties confirm compliance with the UK Bribery Act 2010. No part of the consideration under this Purchase Order shall constitute a bribe, kickback, or improper inducement.
