1. Acceptance: This Purchase Order constitutes a binding offer to purchase the items listed above. Acceptance by the vendor is confirmed by written acknowledgment or shipment of goods. All transactions are governed by the laws of the State of California and applicable federal regulations within the United States.

2. Delivery: All items must be delivered to the specified Los Angeles, California address no later than the Required Delivery Date. Late delivery exceeding five (5) business days entitles the buyer to cancel this Purchase Order without penalty. Delivery within the United States Los Angeles metropolitan area must be made during stated receiving hours.

3. Quality & Compliance: All pharmaceutical equipment and supplies must meet or exceed standards set by the United States Pharmacopeia (USP), the Food and Drug Administration (FDA), and the California Board of Pharmacy. The Pharmacist in charge, Dr. Margaret Chen, RPh, reserves the right to inspect and reject any item that does not conform to specifications or regulatory requirements for a licensed pharmacy in Los Angeles.

4. Payment: Payment of the full invoice amount shall be made within thirty (30) calendar days of receipt of a correct invoice and confirmed delivery. Payment shall be made via ACH transfer to the vendor's designated account. No payment shall be due until all items have been accepted by the Pharmacist in charge.

5. Warranties: The vendor warrants that all goods are new, unused, and free from defects in material and workmanship. Equipment warranties shall be a minimum of two (2) years from the date of installation in the Los Angeles facility. The vendor shall provide all necessary installation, calibration, and operator training for the Pharmacist staff.

6. Cancellation & Modification: This Purchase Order may be modified or cancelled in writing by either party. Cancellation after vendor acknowledgment shall be subject to a 10% restocking fee on non-custom items. Custom-ordered items are non-cancellable once production has commenced.

7. Insurance & Liability: The vendor shall maintain commercial general liability insurance of no less than $2,000,000 per occurrence. The vendor assumes all risk of loss until goods are received and inspected at the Los Angeles delivery address.

8. Regulatory Compliance: The vendor acknowledges that the buyer operates a licensed pharmacy in the United States Los Angeles jurisdiction and that all controlled substance-related equipment and disposal containers must comply with 21 CFR 1300–1399 and California Health & Safety Code Title 22. The Pharmacist in charge is the designated responsible party for all DEA and state regulatory matters.
