- Payment Terms: Net 30 days from the date of confirmed delivery and acceptance by the Pharmacist in charge. Payment shall be made via bank transfer to the supplier's account in Venezuelan Bolívares (VES) or, at the buyer's discretion, in US Dollars (USD) converted at the official BCV (Banco Central de Venezuela) exchange rate on the date of payment.
- Delivery Terms: DDP (Delivered Duty Paid) to the Farmacia del Caribe, C.A. warehouse located in Chacao, Caracas, Venezuela. The supplier bears all transportation costs, insurance, and risk of loss until the goods are physically received and inspected by the designated Pharmacist at the destination.
- Quality Assurance: The Pharmacist (Lic. M.F. Rodríguez) reserves the right to inspect 100% of all pharmaceutical lots upon arrival. Products must be accompanied by Certificates of Analysis (CoA), MPPS registration numbers, and cold-chain temperature logs where applicable. Non-conforming items will be returned at the supplier's expense.
- Cold Chain Requirements: Items 004 (Insulin Glargine) and 005 (IV Saline) must be transported in validated refrigerated containers maintaining a temperature between 2°C and 8°C throughout transit within the Caracas metropolitan area. Temperature data loggers must be included and submitted to the Pharmacist upon delivery.
- Validity of This Purchase Order: This Purchase Order is valid for a period of fifteen (15) calendar days from the date of issue. The supplier must confirm acceptance in writing within five (5) business days.
- Regulatory Compliance: The supplier warrants that all products are legally manufactured, registered, and authorized for sale in Venezuela. The supplier shall indemnify the buyer against any claims arising from regulatory non-compliance, product defects, or unauthorized distribution.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Caracas, Venezuela, in accordance with the Commercial Arbitration Law of the Republic of Venezuela. The governing law shall be the laws of Venezuela.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or nationwide supply chain disruptions affecting the Caracas region.
