This Purchase Order is issued by Sahara Events & Media Group SARL to formally engage the services of a professional Photographer operating under the name Atlas Visual Photography Studio, based in Algeria Algiers. The Photographer shall provide comprehensive photographic coverage for the annual "Sahara Cultural Heritage Exhibition" scheduled to take place at the Palais des Expositions, Algiers, from 20 August 2025 through 30 August 2025.

The Photographer is expected to deliver high-resolution editorial and documentary photography capturing all facets of the exhibition, including opening ceremonies, artist installations, visitor interactions, and behind-the-scenes production activities. All photographic work must be conducted in accordance with the professional standards recognized by the Algerian Ministry of Culture and the local photography guild in Algeria Algiers.

1. Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the People's Democratic Republic of Algeria, specifically the Algerian Commercial Code and the Civil Code provisions applicable to service contracts in Algeria Algiers.
2. Photographer Obligations: The Photographer shall arrive at the venue no later than 30 minutes before the scheduled start of each coverage day. The Photographer must carry professional-grade equipment, including but not limited to a full-frame DSLR or mirrorless camera body, a minimum of three interchangeable lenses (24-70mm, 70-200mm, and 50mm prime), and adequate lighting equipment. All equipment must be insured for the duration of the engagement.
3. Intellectual Property: Upon full payment of the total amount specified in this Purchase Order, all rights to the final edited images shall transfer to the Buyer. The Photographer retains the right to use up to ten (10) images for personal portfolio purposes, provided that prior written consent is obtained from the Buyer and the exhibition organizers.
4. Confidentiality: The Photographer agrees to maintain strict confidentiality regarding any proprietary information, unreleased artwork, or private conversations encountered during the engagement in Algeria Algiers. A breach of this clause shall result in immediate termination of this Purchase Order and liability for damages.
5. Payment Schedule: A 30% advance payment (460,887 DZD) shall be due within seven (7) business days of the acceptance of this Purchase Order. The remaining 70% (1,075,403 DZD) shall be paid within thirty (30) days of the final delivery of all deliverables, subject to the Buyer's written acceptance.
6. Force Majeure: Neither party shall be held liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or civil unrest affecting the Algeria Algiers region.
7. Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be attempted to be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be submitted to the competent commercial court in Algeria Algiers for adjudication.
8. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination by the Buyer without cause, the Photographer shall be compensated for all work completed up to the date of termination.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Photographer in Algeria Algiers. This document constitutes a binding agreement between the parties upon execution.
