The Photographer shall provide a detailed shooting schedule no later than June 16, 2025. Final edited deliverables shall be submitted to the Buyer via secure digital transfer within fifteen (15) business days of the last scheduled shooting day. The Photographer guarantees that all images will be delivered in a minimum resolution of 300 DPI for print and 72 DPI for web use.

7.1 Intellectual Property: Upon full payment, all final photographic images and associated files shall become the exclusive property of Meridian Corporate Communications S.A. The Photographer retains the right to display up to five (5) images in a personal portfolio for self-promotional purposes, subject to prior written approval from the Buyer.

7.2 Professional Standards: The Photographer warrants that all services will be performed in a professional and workmanlike manner consistent with industry standards for commercial photography in Argentina Buenos Aires. The Photographer shall carry valid professional liability insurance with a minimum coverage of ARS 5,000,000 for the duration of this engagement.

7.3 Cancellation and Rescheduling: Either party may cancel or reschedule a shooting session with a minimum of seventy-two (72) hours' written notice. Cancellations within seventy-two hours of a scheduled session shall incur a 25% fee of the session value. The Photographer shall make reasonable efforts to accommodate rescheduling requests within the project timeline.

7.4 Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the city of Buenos Aires, Argentina.

7.5 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Argentine Republic, specifically the Civil and Commercial Code of Argentina. Any disputes arising from this Purchase Order shall be resolved in the competent courts of the city of Buenos Aires, Argentina.

7.6 Confidentiality: The Photographer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and internal operations of the Buyer observed during the execution of services in Argentina Buenos Aires.
