1. SCOPE OF ENGAGEMENT — PHOTOGRAPHER SERVICESThis Purchase Order is issued by Queensland Creative Industries Ltd. (hereinafter referred to as the "Buyer") to Mitchell & Lane Photography Pty Ltd. (hereinafter referred to as the "Photographer") for the provision of professional photography services to be conducted within the metropolitan area of Australia Brisbane and its surrounding suburbs. The Photographer shall deliver all photographic outputs in accordance with the specifications, timelines, and quality standards outlined in this Purchase Order. All services rendered under this Purchase Order shall comply with the Australian Consumer Law (2010), the Privacy Act 1988 (Cth), and all applicable Queensland state regulations governing commercial photography and image licensing.

All amounts stated in this Purchase Order are in Australian Dollars (AUD) and are inclusive of Goods and Services Tax (GST) at the current Australian rate of 10%, as administered by the Australian Taxation Office (ATO). Payment shall be made via electronic funds transfer (EFT) to the Photographer's nominated bank account within 30 days of receipt of a valid tax invoice. A 50% deposit is required upon acceptance of this Purchase Order, with the remaining 50% due upon final delivery and written acceptance of all photographic deliverables. Late payments shall attract interest at the rate prescribed under the Interest on Late Payments of Tax Debts Act 1983 (Cth).
4. TERMS AND CONDITIONS- Intellectual Property & Licensing: Upon full payment, the Buyer shall receive a perpetual, royalty-free, worldwide commercial licence to use all photographic deliverables. The Photographer retains moral rights under the Copyright Act 1968 (Cth) and the right to display the work in their professional portfolio, subject to the Buyer's prior written consent for any sensitive corporate imagery.
- Compliance & Insurance: The Photographer warrants that they hold a current Public Liability Insurance policy with a minimum cover of AUD $20,000,000, valid throughout the duration of this Purchase Order. All drone operations in Australia Brisbane shall comply with Civil Aviation Safety Authority (CASA) regulations, including obtaining any required Remote Pilot Licence (RPL) and airspace authorisations.
- Privacy & Model Releases: The Photographer is responsible for obtaining signed model release forms from all individuals photographed, in compliance with the Privacy Act 1988 (Cth) and the Information Privacy Act 2009 (Qld). All personal data collected shall be stored securely and destroyed within 12 months of final delivery unless otherwise agreed in writing.
- Revisions & Acceptance: The Buyer shall have a 10-business-day window from the date of delivery to request up to two (2) rounds of minor retouching revisions at no additional cost. Major re-shoots or creative direction changes beyond the agreed brief shall be invoiced separately at the Photographer's standard day rate of AUD $1,800 per day.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to severe weather events affecting the Australia Brisbane region, government-mandated closures, or natural disasters, provided that the affected party notifies the other within 48 hours.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Queensland, Australia. Any disputes shall be resolved through the Queensland Small Claims Commission or the Supreme Court of Queensland, Brisbane, as appropriate.
- Termination: Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination, the Buyer shall pay for all services rendered and deliverables completed up to the date of termination. The Photographer shall deliver all raw and edited files in their possession within 7 business days of termination.
- Health & Safety: The Photographer shall comply with all applicable Work Health and Safety (WHS) regulations as set out in the Work Health and Safety Act 2011 (Qld) when conducting on-site photography at the Buyer's premises in Australia Brisbane.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of photography services in Australia Brisbane and supersedes all prior quotations, emails, or verbal discussions between the parties.
