- This Purchase Order constitutes a binding agreement between Dhaka Creative Media House Ltd. (hereinafter “the Buyer”) and Mr. Tanvir Ahmed, operating as LensCraft Photography Studio (hereinafter “the Photographer”), for the provision of professional photography services in Bangladesh Dhaka.
- The Photographer shall provide all professional-grade camera equipment, lenses, lighting rigs, and accessories necessary to fulfil the services described in this Purchase Order. No additional equipment charges shall be levied beyond the rates stated herein.
- All photographic content, including raw files, edited images, and derivative works produced under this Purchase Order, shall become the exclusive intellectual property of the Buyer upon full and final payment. The Photographer retains the right to display a maximum of five (5) images in a personal portfolio with prior written consent from the Buyer.
- The Photographer agrees to maintain professional conduct at all times during shoots conducted in Bangladesh Dhaka, including compliance with local municipal regulations, venue-specific rules, and any applicable photography permits required by the Dhaka North City Corporation or Dhaka South City Corporation.
- Payment shall be made via bank transfer to the Photographer’s designated account in Bangladesh Taka (BDT). The advance payment of 50% (BDT 168,740.00) is due within five (5) working days of acceptance of this Purchase Order. The remaining 50% (BDT 168,740.00) shall be due within seven (7) working days of final image delivery and written acceptance by the Buyer.
- In the event of cancellation by the Buyer, the Photographer shall be entitled to the advance payment already received. In the event of cancellation by the Photographer without valid cause, the Photographer shall refund 100% of any amounts received within ten (10) working days.
- The Photographer shall deliver all final images in a format and resolution as specified in Line Item 4. Delivery shall be made via a secure cloud-based transfer link with a minimum of 30-day access validity.
- This Purchase Order is governed by the laws of the People’s Republic of Bangladesh. Any disputes arising from this Purchase Order shall be resolved through arbitration in Dhaka, Bangladesh, in accordance with the Arbitration Act, 2001 of Bangladesh.
- The Photographer warrants that all services rendered shall be performed in a professional and workmanlike manner, consistent with industry standards practised by professional photographers in Bangladesh Dhaka.
- This Purchase Order shall remain valid for thirty (30) calendar days from the date of issue. If not accepted and signed by the Photographer within this period, it shall automatically lapse and become null and void.
