1. Scope of Purchase OrderThis Purchase Order is issued by Brussels Metropolitan Events & Communications S.A. to engage the services of Studio Lumière Bruxelles SRL, a professional Photographer operating in Belgium Brussels, for the purpose of providing comprehensive photographic coverage of the company's annual corporate summit, product launch event, and executive portrait sessions scheduled to take place between 1 July 2025 and 30 September 2025. The Photographer shall deliver all services in accordance with the specifications, timelines, and quality standards outlined in this Purchase Order and the attached Statement of Work (SOW-2025-BB-114).

All prices are denominated in Euros (EUR). VAT is applied at the Belgian standard rate of 21% as per the Belgian Code on VAT (Code de la TVA / Wet op de omzetbelasting). The Photographer is registered for VAT in Belgium under the number BE 0812.567.234.
3. Delivery & Acceptance TermsThe Photographer shall deliver all edited and finalised photographic assets no later than fourteen (14) calendar days following the completion of each respective shooting session. Delivery shall be made via the secure cloud platform specified in the Statement of Work. The Purchasing Party shall have ten (10) business days from the date of delivery to inspect and accept or reject the deliverables. Rejection must be communicated in writing with specific reasons. In the absence of written rejection within the inspection period, the deliverables shall be deemed accepted. All work performed in Belgium Brussels shall comply with applicable Belgian intellectual property law and the GDPR (EU) 2016/679 regarding the processing of personal data contained in portrait images.
4. Payment TermsPayment against this Purchase Order shall be made by bank transfer to the account of the Photographer as follows: 40% (forty percent) of the Grand Total upon signature and acceptance of this Purchase Order; 40% (forty percent) upon delivery of all final digital assets; and 20% (twenty percent) upon final acceptance of printed materials. All invoices must reference this Purchase Order number (BB-2025-04782). Payment terms are net thirty (30) days from the date of invoice. Late payments shall accrue interest at the rate prescribed by the Belgian Law of 2 August 2002 on late payment in commercial transactions.
5. Terms & Conditions5.1. This Purchase Order is governed by and shall be construed in accordance with the laws of the Kingdom of Belgium. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Commercial Court of Brussels, Belgium.
5.2. The Photographer warrants that all photographic works delivered under this Purchase Order are original, free from third-party intellectual property claims, and do not infringe upon any copyright, trademark, or moral rights of any third party.
5.3. The Photographer shall maintain professional indemnity insurance with a minimum coverage of EUR 1,000,000 for the duration of the engagement. A certificate of insurance shall be provided upon request.
5.4. The Photographer shall comply with all applicable Belgian labour, health and safety, and data protection regulations while performing services in Belgium Brussels. Model release forms shall be obtained for all identifiable individuals photographed, in accordance with Belgian and EU privacy legislation.
5.5. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Purchasing Party shall pay for all services rendered and expenses incurred up to the date of termination.
5.6. The Photographer shall not subcontract any portion of the photographic services without prior written consent from the Purchasing Party. Any approved subcontractor shall be bound by the same terms and conditions as set forth in this Purchase Order.
5.7. Force majeure events, including but not limited to natural disasters, pandemics, or government-mandated closures in Belgium Brussels, shall excuse timely performance. The affected party shall notify the other within forty-eight (48) hours of the occurrence.
6. Authorisation & SignaturesBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Photographer in Belgium Brussels.
