• 5.1 — This Purchase Order constitutes a binding agreement between Meridian Corporate Solutions Ltda. and the Photographer, Mendes Visual Arts & Photography Studio, for the provision of professional photography services exclusively within the jurisdiction of Brazil Brasília, Federal District.
• 5.2 — The Photographer shall arrive at the venue no later than 90 minutes prior to the start of each scheduled session. Failure to do so without prior written notice to the Procurement Manager shall result in a 10% deduction from the corresponding line item.
• 5.3 — All photographs captured under this Purchase Order shall be the exclusive intellectual property of Meridian Corporate Solutions Ltda. The Photographer retains the right to use a maximum of five (5) images for personal portfolio purposes, subject to prior written approval from the Buyer.
• 5.4 — The Photographer is required to carry valid professional liability insurance with a minimum coverage of BRL 500,000.00 for the duration of the engagement in Brazil Brasília. A certificate of insurance must be submitted to the Buyer no later than five (5) business days before the event.
• 5.5 — Payment shall be made within thirty (30) calendar days from the date of receipt of the final invoice, provided that all deliverables have been accepted in writing by the Procurement Manager. Payment shall be processed via bank transfer (TED) to the account specified by the Photographer.
• 5.6 — The Photographer shall comply with all applicable federal, state, and municipal regulations governing professional photography services in Brazil Brasília, including but not limited to data protection requirements under the Brazilian General Data Protection Law (LGPD — Lei Geral de Proteção de Dados).
• 5.7 — Any modifications to the scope of services outlined in this Purchase Order must be documented in a written addendum signed by both parties. Verbal agreements shall not be considered valid amendments to this document.
• 5.8 — In the event of force majeure preventing the Photographer from fulfilling obligations in Brazil Brasília, the affected party shall notify the other within 24 hours, and both parties shall negotiate in good faith to reschedule or cancel the engagement without penalty.
• 5.9 — This Purchase Order is governed by the laws of the Federative Republic of Brazil, and any disputes arising from its interpretation or execution shall be subject to the exclusive jurisdiction of the courts of Brazil Brasília, Federal District.
