The Photographer is responsible for all creative direction, lighting setup, equipment operation, post-production editing, and delivery of final image assets in accordance with the specifications outlined below.

- Scope of Work: The Photographer shall perform all photographic services exclusively within the city of Rio de Janeiro, Brazil, unless otherwise agreed in writing. Any travel outside the municipality of Rio de Janeiro shall be subject to a separate amendment to this Purchase Order.
- Intellectual Property: Upon full payment, all final edited images and raw files shall become the exclusive property of the Buyer. The Photographer retains the right to display up to ten (10) images in a personal portfolio for self-promotional purposes, provided the Buyer’s brand is not misrepresented.
- Payment Schedule: A 40% advance payment (R$ 12,364.80) is due within five (5) business days of the issuance of this Purchase Order. The remaining 60% (R$ 18,547.20) shall be due within thirty (30) calendar days following the Photographer’s final delivery of all image assets. Payment shall be made via bank transfer (TED/PIX) to the account designated by the Photographer.
- Delivery Timeline: The Photographer shall deliver the full set of edited images no later than fourteen (14) business days after the final shooting date. The expedited 20-image selection (Item 06) shall be delivered within forty-eight (48) hours of the event conclusion.
- Cancellation and Rescheduling: The Buyer may cancel or reschedule any session with a minimum of seven (7) business days’ written notice. Cancellations within seven days will incur a 50% fee on the affected line item. The Photographer may reschedule due to force majeure (including severe weather conditions common to Rio de Janeiro) with 48 hours’ notice, at no cost to the Buyer.
- Compliance and Licensing: The Photographer warrants that all equipment, including drone operations, complies with the regulations of the Agência Nacional de Aviação Civil (ANAC) and the local municipal authorities of Rio de Janeiro. The Photographer shall carry valid professional liability insurance with a minimum coverage of R$ 500,000.00 for the duration of the engagement.
- Confidentiality: The Photographer agrees to maintain strict confidentiality regarding the Buyer’s product designs, event details, and any proprietary information observed during the shooting sessions in Rio de Janeiro. This obligation survives the termination of this Purchase Order for a period of two (2) years.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of the city of Rio de Janeiro, State of Rio de Janeiro.
- Health and Safety: The Photographer shall adhere to all applicable health, safety, and environmental regulations in force in the state of Rio de Janeiro, including but not limited to the use of personal protective equipment when operating lighting rigs and drone equipment.
